OVERSEAS REGULATORY ANNOUNCEMENT

This announcement is made pursuant to Rules 13.09(2)(a) and 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and Part XIVA of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong).

China National Aviation Holding Company ("CNAHC"), the controlling shareholder of Air China Limited (the "Company"), has recently informed the Company that CNAHC had received a "Notice on 2013 State-owned Capital Operation Budget (allocation) Granted by the Ministry of Finance and the State-owned Assets Supervision and Administration Commission of the State Council to China National Aviation Holding Company" (《財政部、國資委關於下達中國航空集團公司2013年中央國有資本經營預算（撥款）的通知》). According to the aforesaid notice, the 2013 state-owned capital operation budget granted to CNAHC amounted to RMB1 billion, which will be applied towards the Company's aviation network hub construction project.

The Company has made inquiries to the management of the Company and CNAHC, the controlling shareholder of the Company, in respect of the injection of the aforesaid funds and was advised that as of the date of this announcement, neither CNAHC nor the Company has taken any action including entering into any agreement with respect to the injection of the aforesaid funds. The Company will make further announcements to keep the investors informed of the progress on this matter pursuant to the relevant regulatory rules.
