Reduction of Capital

The Company confirms that the High Court of Justice in England and Wales has made an order confirming the cancellation of 2,840,000 ordinary shares of £0.10 each which were purportedly purchased by the Company between 5 February 2020 and 18 March 2020 (the "Capital Reduction").

The Capital Reduction, as described in the Company's 2020 Notice of Annual General Meeting (which is available on the Company's website https://www.ashtead-group.com/investors/shareholder-information/agm/), was approved by shareholders at the Annual General Meeting held on 8 September 2020. The order of the Court has been registered with the Registrar of Companies and, accordingly, the Capital Reduction has now become effective.

Following the Capital Reduction, the issued share capital of the Company consists of 451,354,833 ordinary shares of £0.10 each.
