Total Voting Rights

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company wishes to notify the market that, as at 31 March 2023, the Company's issued share capital consisted of 120,509,736 ordinary shares of 0.075p each ("Ordinary Shares"). 6,274,380 Ordinary Shares are held by the Company's Employee Benefit Trust ('EBT'). No Ordinary Shares are currently held in treasury.

The total number of voting rights in the Company as at 31 March 2023 is therefore 120,509,736. This figure includes the 6,274,380 Ordinary Shares currently held in the EBT as these Ordinary Shares hold voting rights albeit the EBT does not exercise these voting rights nor receive dividends in respect of these shares. Therefore, at 31 March 2023 114,235,356 Ordinary Shares have exercisable voting rights and the Group's earnings per share calculation excludes these 6,274,380 Ordinary Shares held by the EBT. 

The above figure of 120,509,736 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
