Exercise of share awards, RSU vesting, EBT share purchase
and total voting rights
Alpha FMC (AIM: AFM), a leading global provider of specialist consultancy services to the asset management, wealth management and insurance industries, announces that 631,205 vested share options under the Joint Share Option Plan ("JSOP"), Management Incentive Plan ("MIP") and Employee Incentive Plan ("EIP") were exercised on 16 August 2023. A further 388,732 Restricted Stock Units ("RSU") have vested and the shares were transferred under the MIP and EIP.
The Company will satisfy these exercised share options and vested RSUs using existing shares held in the Alpha Employee Benefit Trust ("EBT").
The Company has also been notified by Intertrust Employee Benefit Trustee Limited, the trustee of the Company's EBT, that on 16 August 2023, the EBT purchased a total of 1,033,954 Ordinary Shares in the Company at a price of 367.5 pence per share (the "Purchase") being the closing mid-market price of an Ordinary Share on the last practicable day before the Purchase. These shares will be held in the EBT, a discretionary trust, and are intended to be used to satisfy the exercise of share options by employees, including the Directors of the Company.
Following the above, the Company will have 122,009,736 Ordinary Shares in issue, of which 7,627,623 are held in the Company's Employee Benefit Trust. No shares are held in treasury. The total number of voting rights in the Company will therefore be 122,009,736. This figure includes the 7,627,623 Ordinary Shares currently held in the EBT as the Ordinary Shares hold voting rights albeit the EBT does not exercise these voting rights nor receive dividends in respect of these shares. Therefore, 114,382,113 Ordinary Shares have exercisable voting rights and the Group's earnings per share calculation excludes the 7,627,623 Ordinary Shares held by the EBT.
This figure of 122,009,736 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
