For the purposes of the Transparency Directive, and following the admission of shares to trading pursuant to the Placing of 175,000,000 new shares and the shareholders participation in the Scrip Dividend on 29 December 2010 and 31 December 2010 respectively, Asian Citrus wishes to confirm that its total issued share capital as at the date of this announcement is 1,213,336,378.

The Company's issued and fully paid share capital consists of 1,213,336,378 ordinary shares of HK$0.01 each, with one voting right per share and holds no Ordinary Shares in Treasury.

The total number of voting rights in the Company is therefore 1,213,336,378.

The above figure of 1,213,336,378 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FSA's Disclosure and Transparency Rules.
