("Asian Citrus" or "the Company")

Directorate Changes

The Board of Directors (the "Board") of Asian Citrus Holdings Limited (the "Company") announces that Mr. Sung Chi Keung ("Mr. Eric Sung") tendered his resignation as Executive Director, Finance Director and Company Secretary with effect as of 30 June 2013 to pursue his own personal businessinterests.

Appointment of Acting Chief Financial Officer

The Board announces that [Mr. Lau Hak Kin ("Mr. Wood Lau") has, in the interim, been appointed as the Acting Chief Financial Officer of the Company with effect as of 1 July 2013. Mr. Lau, who is currently the Financial Controller of the Group, will oversee the accounting, finance and treasury functions of the Company.

Mr. Lau, aged 35, joined the Company in December 2005. Mr. Lau holds a bachelor's degree in business administration, major in accountancy, from the Chinese University of Hong Kong. He is an associate member of the Hong Kong Institute of Certified Public Accountants, a fellow member of the Association of Chartered Certified Accountants and a CFA charter holder. He has 10 years of experience in financial management, risk management, accounting, taxation and auditing and previously worked for PricewaterhouseCoopers before joining the Group.

The Board has formed a committee to identify a suitable candidate to fill the role of Chief Financial Officer on a permanent basis. The Company will make a further announcement once such appointment is confirmed. In the meantime, the Board considers this change to the management team will have no material impact on the Company's operation.

Appointment of Company Secretary

The Board announces that Mr. Ng Cheuk Lun ("Mr. Mark Ng") has been appointed as the Company Secretary of the Company with effectas of 1 July 2013.

Mr. Ng, aged 36, joined the Company in July 2011. He is a member of the Hong Kong Institute of Certified Public Accountants and CPA Australia.

In addition, Mr. Tong Hung Wai, Tommy ("Mr. Tommy Tong") has been appointed as an Authorised Representative of the Company to the Hong Kong Stock Exchange with effect as of 1 July 2013, will continue to oversee the investor relationship of the Company.

The Board would like to express its gratitude to Mr. Sung for his contributions over the years and welcome Mr. Lau and Mr. Ng to their new positions in the Company.

As at the date of this announcement, the board of directors of the Company comprises five executive directors, namely Mr. Tong Wang Chow, Mr. Tong Hung Wai, Tommy, Mr. Cheung Wai Sun, Mr. Pang Yi and Mr. Sung Chi Keung and five independent non-executive directors, namely Hon Peregrine Moncreiffe, Dr. Lui Ming Wah, SBS, JP, Mr. Yang Zhenhan, Mr. Ma Chiu Cheung, Andrew and Mr. Ng Hoi Yue.
