Issue of Equity
Close Technology & General VCT plc (theΒ "Company")Β announces that, further toΒ the Dividend Reinvestment Scheme introduced by the Company (details of which wereΒ setΒ outΒ in the Circular issued to shareholders onΒ 18 April 2008), the CompanyΒ todayΒ allottedΒ 27,103Β ordinary shares of 50p each (the "New Ordinary Shares") andΒ 49,618Β C ordinary shares of 50p each (the "New C Ordinary Shares")Β in the capital of the Company. In accordance with the Circular, the "New Ordinary Shares" were issued at a price of 106.1p and the "New C Shares" were issued at a price of 87.9p.
Accordingly, application has been made to the UK Listing Authority for the admission ofΒ the NewΒ Ordinary SharesΒ and the New C Ordinary SharesΒ to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities and it is expected thatΒ dealingsΒ willΒ commence onΒ 6 OctoberΒ 2008. The NewΒ Ordinary Shares will rank pari passu in all respects with the existing ordinary shares in issueΒ and the New CΒ Ordinary Shares will rank pari passu in all respects with the existing C ordinary shares in issue.
Following the issue of the NewΒ Ordinary SharesΒ and the New C Ordinary SharesΒ the Company will haveΒ 13,639,094Β ordinary shares andΒ 35,569,394Β C ordinary shares in issue.
In conformity with the Transparency Directive's provisions we would like to notify the market of the following:
Close Technology & General VCT PLC's capital as atΒ 3 OctoberΒ 2008 consisted ofΒ 13,639,094Β ordinary shares andΒ 35,569,394Β C ordinary shares. Close Technology & General VCT PLC holdsΒ 686,859Β Ordinary shares andΒ 21,796Β C shares in Treasury.
Therefore the total number of voting rights in Close Technology & General VCTΒ PLC isΒ 48,499,833.
The figure ofΒ 48,499,833Β may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Close Technology & General VCT PLC under the FSA's Disclosure and Transparency rules.
