(the Issuer)
The Issuer announces that:
(a) on 4 September 2019, it changed its name from WM Treasury 2 Plc to Citizen Treasury Plc;
(b) on 1 September 2019, Family Housing Association (Birmingham) Limited, Optima Community Association Limited, West Mercia Homes Limited and Whitefriars Housing Group Limited (each being Original Borrowers in respect of its £280,000,000 3.25 per cent. Secured Bonds due 2048 (ISIN: XS1703979242) (the Bonds)) amalgamated with WM Housing Group Limited, pursuant to section 109 of the Co-operative and Community Benefit Societies Act 2014 (the Act), to form one registered society within the meaning of the Act, being Citizen Housing Group Limited, (the Amalgamation). The Amalgamation is a Permitted Reorganisation for the purpose of the Original Loan Agreements; and
(c) on 12 September 2019, the Issuer (with the consent of Prudential Trustee Company Limited (the Bond Trustee) pursuant to Condition 17.2 and Clause 19.2 of the Bond Trust Deed dated 20 October 2017 (the Bond Trust Deed)) entered into:
(i) a consolidation and restatement agreement with Citizen Housing Group Limited and the Security Trustee in respect of the Original Loan Agreements; and
(ii) a supplemental bond trust deed with the Bond Trustee,
in each case to reflect the Amalgamation.
Terms used but not defined in this announcement have the meanings given to them in the Bond Trust Deed.
