Director's Shareholdings

VPhase plc, (AIM:VPHA), a leading developer of energy saving products for residential and commercial properties,was informed on 28 October 2010 that, on the same day, Energetix (Nominees) Limited transferred the legal ownership in 12,489,498 ordinary shares of 0.25p each to Richard Smith, Chief Executive Officer and 4,688,250 ordinary shares of 0.25p each to Nicholas Moss, Non - executive Director.

In each case the transfers are for nil consideration being to the beneficial owners of the shares.

Following these transfers, Mr. Smith's beneficial interest in the Company remains unchanged at 12,909,666 ordinary shares of 0.25p each, representing approximately 1.61 per cent. of the issued share capital of the Company and Mr. Moss's beneficial interest in the Company remains unchanged at 4,688,250 ordinary shares of 0.25p each, representing approximately 0.58 per cent. of the issued share capital of the Company.

In addition, there is evidence that the life of electrical appliances can be extended by the use of this product; light bulbs, in particular, have demonstrated at least two times longer life when on a circuit managed by the voltage optimisation product as compared to those without the product.
