£150,000,000 6.625 PER CENT. SUBORDINATED NOTES DUE 2030 (ISIN XS0237631097) ISSUED BY BRIT LIMITED AND GUARANTEED BY BRIT INSURANCE HOLDINGS LIMITED

(the "Notes")

Notice is hereby given that Brit Group Holdings Limited has been substituted in place of Brit Limited as issuer and principal debtor under the Notes, with effect on and from 22 January 2025, and certain other general updates and modifications have been made to the Trust Deed and Agency Agreement, each in accordance with the terms of the Trust Deed. The Notes will continue to be guaranteed by Brit Insurance Holdings Limited. The substitution reflects changes to the Brit group structure.

Brit Group Holdings Limited was incorporated on 7 August 2024 and is a wholly owned subsidiary of Brit Limited. It is the new holding company for the Brit insurance businesses.

Notice of the substitution has been delivered to the holders of the Notes as per the terms of the Notes.
