Correction to my post 29 April 19:28. The entries B21038559 (15/04/2021) and B21033280 (02/04/2021) have not been removed from the registry as they were for FEGL. Apologies for my mistake. However, this new entry (B21044352) for Green Capital makes sense as the previous removal in the “Seizure / ban” entries for FEGL under registration number B21038559 have now been applied to Green Capital. And, looking at it again, I assume the seizure entry refers to the transfer of 50% of FEGL to Green Capital.

There's a new entry (B21044352) today on the registry for Green Capital but also of note is the removal of previous registry entries B21038559 (15/04/2021) and B21033280 (02/04/2021). B21033280 had a number of real estate seizures for FEGL (mainly pipelines) and prohibition entries for both FEGL and Green Capital. B21038559 then removed the prohibition entries for Green Capital. This latest one, B21044352, reinstates the Green Capital prohibitions that were deleted from B21038559 and it has removed all entries for FEGL apart from a seizure mentioning Green Capital, brand name and Frontera Eastern Georgia. Does this mean Green Capital has taken 'Frontera Eastern Georgia Ltd.' as a brand or that it's been taken from GC?

Phil. I like you am puzzled why Zaza is still registered as Director for LLC Frontera Resources Georgia and Frontera Resources Georgia Corporation although he was replaced by Dustin Aro at Frontera Resources US LLC on 12/01/2021. When I questioned this, Mole suggests this is due to FTI and the court case with Outrider but I'm not familiar with the details so please have a look at Mole's posts.

As for Green Capital and Zaza's alleged "illicit activities" which, as you mention, perhaps involves selling oil through surreptitiously formed companies owned by his son (see Looed's post earlier today), I expect yet more litigation in Georgian Courts. We have to bear in mind that it is also in the interest of Outrider/FTI to pursue this but it is going to be very difficult fighting on Zaza's home ground even with overwhelming evidence of illegal activities.

Looed, may thanks, that's excellent work. I was completely wrong in my assumption regarding the Georgian personal numbers and thanks bugsy for pointing out that Nikoloz is Zaza's son and thanks also to ODR1 and Oopsi for their original posts (I'd previously noted Nikoloz had registered Frontera U.S. Ltd and Frontera Trading Ltd on 15/01/2020 and 16/01/2020 with a link in my post on 20/05/2020 11:59 but omitted the ID numbers). My error with the ID number means I may also be wrong in assuming Ramaz and Manana Mamulaishvili are older than Zaza and therefore his relationship to him which I speculated on in my post of 07/04/2021 17:20, but they still appear to be family members.
I must have missed the info in the submission you quoted as I took some time away from this chatroom. However, when I discovered Nikoloz's companies last year, it does answer my thinking it was strange that two new Frontera entities had been created in Georgia and owned by a Mamulaishvili. It certainly adds more weight to my speculation.

bugsy, just a thought, do you know if Zaza's son was born in Georgia because if he wasn't it could explain why the document did not give Nikoloz's personal number?

bugsy, I'm happy to accept the Nikoloz referred to in the document is Zaza's son as it does not give his personal number. I presume Georgia issues personal numbers chronologically so the lower the number, the older the person. If so, the Nikoloz Mamulaishvili (01017019486) I have referred in my post of 07/04/2021 17:20 is older than Zaza (01024002412). Please let me know if you are able to find out Zaza's son's personal number because it makes much easier to uncover a person's business links.

tsbs, unfortunately that document #37788107 does not give the personal number of Nikoloz Mamulaishvili but I assume it's 01017019486 and if so Nikoloz is a few years older than Zaza (perhaps he's his brother); check out my post of 07/04/2021 17:20 in which I give details of Nikoloz and his business interests in Georgia and Texas. At that time, I did not find any connection to Green Capital but I'm not surprised because the Mamulaishvili family has a range of significant Georgian business interests. The document shows Nikoloz was involved with Green Capital on 09/10/2020, six months before the court awarded Green Capital B12 and other Frontera assets. It's not plausible that Zaza was not discussing matters with Nikoloz so this adds support to my speculation (10/04/2021 16:03) that Zaza role in all this is suspect.

Ziggy, I'm not surprised you are finding it difficult to keep track of events as I too find it hard to understand how and why Green Capital have been awarded B12 and other assets. If you haven't read my posts since 02/04/2021 21:01, please do so as they provide all of the info I've been able to dig out, my thoughts and speculation.

Out of all of the issues, the contract with Green Capital is the most puzzling for me. It appears to have been signed before 02/05/2019 (from the court documents Case 3:19-cv-01996-RS ) so it must have been agreed at the time or just after the Farmout agreement of 13/04/2019. The court document states "Outrider has learned that Frontera has approved a production sharing contract through operating company FRGC". But the Farmout states "FRGC desires to assign a 100% Participating Interest in the PSA and the entire Operating Company Interest to FRUS" but there is no mention of the Green Capital deal in the Farmout and I can't find any mention in accompanying documentation that was filed with the transfer application. From the award of B12 to Green Capital, it would appear that the contract provided the B12 licence and accompanying assets as security, so why was it not included as part of the transfer application. Also, if the contract was through FRGC and B12 was to be farmed out to FRUS, why is there no provision in the Farmout agreement for the Green Capital deal?

Looed, regarding the reason behind the new registration application B21038559, please see my posts yesterday 19:40 and on 05/04/2021 13:15 which covers the previous registration document B21033280 dated 02/04/2021. Mole's post today 07:35 explains the likely reason why the entries for Green Capital have been removed from B21033280.

The oddity in the new registration application B21038559 is the involvement of Ivane Imnadze (01008003153) as the applicant for the change in registration. The applicant for the previous registration document B21033280 dated 02/04/2021 was Giorgi Kishmaria, Georgian Law House, legal form: Individual Entrepreneur (makes sense a lawyer/legal representative was used). On the other hand, Ivane Imnadze's legal form is listed as "Individual" and his status is "Unidentifiable / Cancelled". I dug into his background yesterday and found he is listed under Leadership/representation for Adapt LLC (204923707), which is/owns/runs the Adapt Angiocardiology Clinic in Tbilisi. Why was he (and by implication Adapt LLC) involved in making the application for the FEGL registration changes which has removed the entries dealing with Green Capital from B21033280?

From what I have gathered, the result of the application by Iva Imnadze today 15/04/2021 has been the issue of a new document for FEGL under registration number B21038559 which differs, from the previous registration document B21033280 on 02/04/2021 by deleting the following Seizure / ban entries for Green Capital:

Adapt LLC (my earlier posts named it Adaptive; it was a mistranslation) is/runs the Adapt Angiocardiology Clinic, run out of p. This raises the question, why is Ivane Imnadze, a representative of Adapt being cited as an applicant in the Announcement # 2056116 Registration number B21038559 for FEGL? This situation gets stranger by the day!

Merab Mamatsashvili (01018001174) is Chairman/Member of the Georgian Heart Fund + (205231104) which shares the same address as Adaptive LLC and also lists Sulkhan Izoria (01024063936), Ivane Potskhverashvili (01019002735), Teimuraz Mamatsashvili (01017021540), Giorgi Matishvili (01009000792) and Mariam Akhvlediani (01018001175) as members. Givi Giorgi Mamatsashvili (01017028320) does not appear to have any other connections nor does Nani Gvarjaladze (01008003151) the 33.33%. owner. However, the majority owner of 66.67%, Mariam Akhvlediani (01018001175) is not only a member of the Georgian Heart Fund, she has a 8.66% share of Kakheti Distillery Ltd (405418310) which has the email address info@shilda.com and takes you to the Shilda Winery, see http://www.shilda.com/.

I think Mariam Akhvlediani is most likely this person: https://ge.linkedin.com/in/mariam-akhvlediani-0318426a, and if so, she is the Registration Specialist at the Ministry of Labour, Health and Social Affairs of Georgia and has studied at Tbilisi State Medical University for a Master's degree (a possible link to Zaza and Otar? There’s certainly a medical thread here).

Mole, good to hear from you again. I am suspicious that the award of B12 to Green Capital is more than a hint at a bit of favourable local treatment. What proof has GC provided to GOGC and the Georgian authorities that it has the financial assets, expertise and O&G experience to develop and exploit 5060 sq km? Also, why has GC been awarded the whole of B12 when FRR lost 99% of it after the arbitration? Add to that the links Zaza has with the owner of GC and my suspicions grow further. Like you I am perplexed how GC managed to secure a production sharing contract and a security interest directly in the operating assets and I find it inexplicable that it could have been approved by the BoD. If here has been "illicit activities" as the reported message from Frontera Resources mentioned, we can but trust the US court case will uncover them and hope the outcome is in favour of shareholders.

I've just gone through the .djvu files that accompanied Frontera's application to transfer the PSA from FRGC to FRUS under the Farmout Agreement and there is no mention of Green Capital. I'd have thought that if a production sharing contract had been signed with Green Capital which also granted a security interest directly in the operating assets at the time of the transfer application, it would have been important to declare it.
