Response to Latest Board Announcement



Intention to requisition a GM to remove the Board



Shareholders in RMS will have noted the announcement of the admission to trading today of 4,000,000 placing shares in RMS, which is massively dilutive to existing shareholders. Furthermore, the Company made no formal announcement prior to admission of the placing shares that there was growing shareholder opposition to the issue of warrants. The Company also makes a number of unfounded allegations against Dr Cave which he refutes completely and over which he is taking legal advice.



Over 450 shareholders have expressed opposition to the actions of the current board, and its lack of independent oversight. This support, if deployed at a General Meeting, would be more than sufficient to block the issue of warrants in their current form.



Dr Cave will today be requisitioning a general meeting to remove the existing directors and to appoint a new board with proper independent board oversight.



Egremont is now taking steps to contact all those who have been in touch to start the process of verifying identities and shareholdings and has been approached by individual private investors with a view to the establishment of a formal shareholder action group to underpin the support for board changes.

"I am disappointed that despite constructive discussions with RMS's advisers yesterday, that appeared to be leading to a sensible compromise for the benefit of shareholders, the Board of RMS has chosen to ride roughshod over shareholders' concerns. I believe that these would now be best satisfied by the cancellation of the warrants in their current form and comprehensive board changes which will allow myself, Alex Vergopoulos and the Pharm 2 Farm team to concentrate on the many commercial opportunities presenting themselves."

I do know this company and its directors from 2016 , over 4 years now not new so the way BOD do is not new to me . let face with it if you cant afford dont come to AIM share.

Will vote against the issue of warrants to participants in the recently announced placing to limit dilution of minority shareholders

Proposes board changes to improve corporate governance

On 18 December 2020, RMS announced a placing of 400 million new shares at 1.25p per share (the "Placing") and the proposed issue of 400 million warrants at 2p per share, the latter being subject to shareholder approval. The Board of RMS entered into the Placing without consulting Dr Cave, the largest shareholder, or informing him until after the event.

Dr Cave is a founder and a director of RMS' principal subsidiary Pharm2Farm Ltd ("P2F"). Dr Cave owns 289,645,185 ordinary shares in RMS, representing approximately 18.3% of shares in issue prior to the Placing.

Dr Cave announces that he will vote against the issue of the warrants at any forthcoming General Meeting and Dr Cave intends to lodge a requisition with RMS to convene a general meeting to consider board changes to improve corporate governance. His adviser, Egremont Capital Limited has written to the Board of RMS on behalf of Dr Cave indicating that he and Mr Alex Vergopoulos - who was appointed a Director of P2F on 6 December 2020 and whose involvement Dr Cave considers will be central to enabling P2F to deliver on its commercial business plan - are considering their positions in relation to P2F in the absence of substantial board changes.

If they can cut off crock director and have new BOD so the business'plan will be dong very well and speed up mask product line .

let me tell you this company from 2014 and do nothing only spent money of the PI so don't say they got namy projects, that are only for the place share if you still believe. there are many times the same like this but not mask so not many people interested .this time the same director play the game again
