Why do you think Prana GP Ltd would vote in favor of the resolution?

Looking at the minority shareholder structure, we have:

Prana GP Ltd: 10%

Hargreaves Lansdown Asset Management Limited: 5.3%

Ourselves (based on Andrew’s count): 7.5%

This totals 22.8%. If all of us vote NO, and if we secure the support of a few other minority shareholders, we could potentially block the resolution. However, if Prana votes in favor, we are effectively cooked.

In the operational update from a year ago (https://www.youtube.com/watch?v=NqMN3jI_NhI ), Jeremy Warner Allen (Non-Executive Deputy Chairman) was also present. He holds shares as well (I have no idea how many, but it might be significant enough to close the gap between 22.8% and the required 25%). I have been trying to contact him to understand his position, but so far without success.

Subject: Concern regarding potential market manipulation and unfair treatment of minority shareholders – OPG Power Ventures plc

Dear Sir / Madam,

I am writing to formally raise concerns regarding OPG Power Ventures plc and the conduct of its majority shareholders and board.

Following the company’s recent announcement to delist from the AIM and launch a share buyback at around 6 pence per share, this price appears grossly disproportionate to the company’s net asset value of approximately 40–42 pence per share as reported in its financial statements.

There is a clear pattern suggesting that management has suppressed the share price through limited communication and selective negative disclosures, only to use the company’s own cash reserves to repurchase shares at a fraction of their underlying value. This strategy effectively forces minority shareholders to sell at a derisory price ahead of the company being taken private.

Given the family connections at board level and the timing of the delisting proposal, I believe this conduct may constitute manipulation and abuse of minority shareholders’ rights, contrary to fair market principles under FCA oversight.

I respectfully request that the FCA investigate whether OPG’s actions and communications over the past two years have complied with market conduct rules and whether the proposed transaction represents a fair and transparent process.
