The shares were suspended at 264p each, which values Aero Inventory at £138.31m. That is well down on the all-time high of 722.5p a share achieved at the end of 2007. Management says that the accounting problems relate to stock purchased in the financial year to June 2008. There were two main contracts won during that period. When Aero Inventory wins a contract it always buys the stock of parts that is owned by the customer. This makes it a cash hungry business. A ten year exclusive supply contract was signed with ACTS Aero Technical Support in November 2007. Aero Inventory bought existing stock and a copy of ACTS's parts database for $95m. The other contract was signed with All Nippon Airways in March 2008. This deal involved the purchase of $22.5m worth of parts.
Financial Times AERO INVENTORY SHARES SUSPENDED Aero Inventory's shares were suspended on Monday after the discovery of 'issues' with certain stock valuations which could potentially have a 'material impact' on the 2008 and 2009 accounts. The aircraft components wholesaler also suggested it would likely breach non-financial covenants on its bank debt due to its inability to provide lenders with audited accounts within a specified timescale. Aero Inventory's chief executive Rupert Lewin says the company's business model is sound but there were no indications of when the suspension would be lifted or when the already delayed full-year results would be announced.
It may not be bad news, their is always 50/50 chance they have under valued the parcel of stock from 2008. That would have an impact. The issues raised are not believed to be a result of either fraud or theft.
AERO INVENTORY PLC ("Company" or "Group") On the 30th September 2009 the Company announced a delay in publishing the Group's audited accounts for the financial year ended 30th June 2009 in order to prepare for a proposed move to the Official List. In the course of these preparations, new systems have been introduced to reconcile and value inventory. These systems have raised certain issues regarding the valuation of a parcel of inventory acquired in the 2008 financial year. The directors believe these issues may have a material impact on the 2008 audited accounts and the 2009 accounts, although the precise impact is still being evaluated. Whatever the outcome, the directors believe there will be no impact on either the physical amount of inventory held or upon the Group's cash flows. The issues raised are not believed to be a result of either fraud or theft. The Company is unlikely to be able to deliver to its bank lenders the 2009 audited accounts within the time permitted in the Group's bank facility agreements. This will result in a breach of a non-financial covenant in those agreements. The Company is now commencing discussions with its bank lenders. Pending clarification of the impact of the above on the Group's historic and forthcoming results, the Company's shares will be suspended. A further announcement will be made in due course
