TR1 Trio

Well we now have a minimum of three declared shareholders with:

R Labrum 17.6% decalred on 1/09/20
A Po**** 3% declared on 8/09/20
S Ball 3.01% declared on 9/09/20

Now some believe we are undervalued (I do) and this could be because our current share-price does not reflect the true underlying value of our unlisted investments.

Weshop: We have invested £875,000 and on their articles of Association it says at 19A.4 “Upon an Exit Event ... a proportion of the exit price will go to the A Shares....

I think R Labrum will buy more to take himself up closer to 30% because all BoD will try everything to ensure they remain in situ and they will probably have been buying yesterday (BoD) to try to stop the inevitable.

Interesting Post this morning at 2:48am.

I watched the Video “The only way is up” how appropriate.

Often I have been accused (correctly) of Posting cryptic messages on the Bulletin Boards and I have to say I like yours.
Now if you were to watch the full video (which is upbeat just like Danawinner) but pause it for a few moments so that you can read some of the comments like:

“Who is listening in 2020 .. The only way is up”

Now I do not know if when you click-on the link of the video the songs advertised on the right-hand side will be the same each time but mine were:

I think the reason we are trading at such a large discount to NAV is that if you look at the running costs, compared with the disclosed “profits” that we have made over the years , the inflated salaries appear to have been gobbling up all our profits (hence the disclosed “losses”)
It would be interesting to know the total salaries of our THREE Directors and then I could correlate that with how much our share-price has dropped.

I value PRIM at £9.2 Million

I have analysed all our Investments and doubled checked with our Primorus website, Companies House, LSE, Aquis & Investment Companies websites.

Cash as at 30/06/20 £676,000
Engage Technology 72,123 shares @ £24 = £1,730,952
Fresho 1,415,723 shares @ A$0.475 = 672,468 = £369,858
Nomad Energy 40,000 shares @ $7.50 = $300,000 = £225,000
SOA Energy 14,977 shares @ £6.67 = £99,897
Sport:80 2,500,000 shares @ £0.04p = £100,000
Stream TV invested $200,000 worth about £150,000 using same exchange rate.
TruSpine 1,666,667 shares at bid of £0.35p = £583,333
WeShop 150,199 shares at £5.98 = £898,190
Zusse 57,205 shares @ A$1 and 1 million options at AS0.50 so worth A$ 500,000 total AS557,205 = £305,475
GGP 26,000,000 shares at bid of £0.157p = £4,082,000

Total £9,224,705

Now with my calculations above I believe we are worth circa 6.5p with huge potential growth.

TR1’s

We have had a number of TR1’s over the past year with some building and then officially notifying they have reduced.

R Labrum 1/09/20 at 17.6035% or 24,615,145
S Labrum 24/08/20 at 0% “sold” 6.5 million
S Ball 29/11/19 before consolidation he was at 3.3735% but said he was below 3% so he technically he could have one share less than 3% which would be about 4,194,928
J Labrum 22/05/20 said she had 3.04% but now less than 3% so again could still have 4,194,928

So for all we know we could have three of the above with a possible combination of say 23.6%.

Now our BoD have I believe:
A Clayton 3.4% or 4,750,000
J Taylor-Firth 0.77% or 1,075,000
D Strang 0.4291% or 600,000
So our BoD currently have disclosed they own 4.59% or 6,425,000.

So only comparing R Labrum and the BoD we have 17.6035% V 4.59% which means to me that Rupert Labrum has almost 4 times (3.84) the number of shares than our current BoD and must believe investing in Primorus will be beneficial to him.

PS If Rupert Labrum had an average price of 3p then he has invested £738,454 so that indicates to me confidence.

Warrants

I do like your nom de plume and I believe also that PRIM is undervalued and long overdue a re-rate.

Just looking at the Warrants (after the share consolidation) we have ones at 6p expiring 31/12/20

Donald Strang 600,000
Alastair Clayton 600,000
J Taylor-Firth 600,000

So 1.8 million warrants due this year and if the BoD do not increase the share-price to say 7p then they will lose out. So do you not think they would want to have our share-price up by over 100% from the current level?

How could they achieve this? By listening to shareholders maybe?

Total Assets increased by £1,220,000.

Since our Interims Results of the 30th June 2020 our Total Assets have increased from £8,088,000 to £9,308,000.

This is because the bid for our GGP shares has gone up from 11.8p to currently at time of this Post of 16.3p. There has only been a small increase in our TruSpine shares of £50,000 but from our listed two assets we have increased by over £1.2 million.

The bid for Prim on 30/06/20 was 3.2p and today it is currently 3.4p and if we were to close today at 3.4p then this increase in our Mark Capt of £279,662 is all that the “Market” attributes to our assets increasing by over £1.2 million.

Ok, I read your Posting history and you ask sensible questions (unlike 80% of Posters on most of the B.B. on LSE)

I stated that I only got involved with PSL (BOU) because Antos was involved and Antos had a goal and so did I. I stand by my previous Posts that Antos is a genuine guy and all our conversations were constructive.

We all know what Antos wanted and he achieved it at a nominal price (think £1 if memory is correct) but additionally Antos had to buy a substantial amount of shares and I also believe he bought-in on late 2018 (I am not checking facts these are from memory) We also know there were a number of placings and a few meetings (BoD meetings) and there were a few resolutions and some (or one) special resolution(s).

For special resolutions you need 75% of all votes cast to ensure it passes and conversely you need to control 25% if you want to block (or stall) a special resolution. Antos and myself discussed tactics on how to achieve his goals although I am 100% convinced he did not need me to point out certain obvious arithmetical calculations to achieve his goal.

Hypothetically let us say that Antos only wanted his £1 asset and the true price he had to pay was to buy a bundle of shares and warrants to achieve his (only) goal, then what? Well if the Company goes under (i.e does not RTO) then there will be a substantial number of shareholders who will want their day and if that were to happen then I would disclose what the Broker knew regarding the placing and I would show the evidence.

The Broker has more to lose than the shareholders and it is in their interest (survival) to ensure a RTO occurs.

Why is it taking so long? I can only hypothesise it is all down to Covid-19.

Good Morning RMR1969

I have not kept bees since about 1990. After my father died and my mother sold up and emigrated to Australia in 1987 I did not have the land to keep our hives on along with all the associated equipment required. I recently bought some honey from a beekeeper in the Polokshields area of Glasgow called Ed’s Bees G41 4PL and he said it had been a good early season for the bees.

Our main crop in the West of Scotland is the Heather Honey and normally we would take our bees to the heather on the 12th August (Grouse Shooting Day although I am not a shooter)

One small consolation from Covid-19 that I noticed was that the Local Authorities near where I live did not cut the grass road-side verges and this allowed many wild flowers & the clover to grow so this assisted the honey bees and bumble bees.

Hopefully your BoD has been busy in the back-ground working on your behalf.

I stated on several occasions that I had sold before the suspension because I did not want to have my funds tied-up pending an RTO.

Good Morning Chriszzr, you are correct even though I had sold up on three accounts there was an anomaly and we were still allowed to take-up our Open Offer allowances. On the final day to accept the Open Offer I messed up on my wife’s account and did not give HL the instruction on time and she had the largest share-holding.

I said on numerous occasions the only reason I originally bought-in was to gain access to Antos and we had a good relationship and spoke on the phone a few times although we never met in person. I also had a good relationship with the two PI’s who went to the AGM and I went to visit the one who TR1’d his substantial shareholding.

Antos was only invested for one reason and it has been posted on this B.B. what he wanted and he achieved that.

I had some personal and legal issues (threats) from a particular Broker and I no longer invest in any Company that they are connected with.

I believe at some point Bould Opportunities Plc will re-list or re-incarnate and I would like to think that all shareholders will recover their investment.

I wish you all well and hopefully before too long you will have access to your funds.
