HR Owen doubles profit, slashes dividend By Michael Millar Date: Monday 22 Aug 2011 LONDON (ShareCast) - Luxury car dealer, H.R. Owen, doubled its profits in the first half of 2011 but has cut its dividend by 75%. The company said it had grown new car sales and improved used car margins but was going to cut its dividend to help fund its new growth strategy. Profit before tax leapt to £1.7m in the first half of 2011 with the firm saying it was particularly pleased with sales of Ferraris and Bentleys. "The board has...declared an interim dividend for the six months ended 30 June 2011 of 0.5p per ordinary share," it said in a statement. This compared with a 2p dividend for the same period last year. "We expect the new H.R. Owen strategy will deliver significant growth for the group in the years ahead, and in line with this, we would expect to be in a position to adopt a progressive dividend growth strategy for future years, with a target cover range of between 1.5p and 2.5p," the firm said. The new growth strategy, called 'Experience is Everything', has recently seen the opening of the 'Ferrari Atelier' at The Berkeley hotel and the acquisition of Broughtons of Cheltenham, which takes H.R.Owen into the Aston Martin franchise for the first time. Investors gave the decision a tentative thumbs up with shares rising 1% in morning trading.

Evaluation At the current share price Randall is trading at a discount to its year-end net assets, a prospective p/e of around 8 times, falling to 6.5, and offers a chunky dividend yield of 7%. As well as from organic and acquisitive outperformance, the noted earnings per share numbers may prove light as the company also clearly currently believes its shares are too cheap – having initiated a significant share buy-back programme. Therefore, believing the shares should be trading at 175p+ right now, the shares are a buy.

Security firm G4S has a good record of performing in tough times. In the last downturn, its top line growth never fell below 2%, and it has typically expanded at two percentage points above gross domestic product, notes James Ashton in the Sunday Times. Half-year results this week are expected to show 4% underlying sales growth — not bad when some outsourcers are going backwards. That is made up from 8% growth in emerging markets and nearer 2% in mature ones like Britain. G4S shares are trading on 11 times this year’s forecast earnings and nine times next year’s. Analysts think it is capable of 4% growth for the full year, 6% in 2012 (helped by the Olympics) and 10% in 2013. Despite some short-term worries, the shares should be locked up.

ACQUISITION OF PROPERTY BY MANROY USA On 17 August 2011, the Company announced the completion of its acquisition of a 49 per cent. interest in Manroy USA LLC ("MUSA") from Caledonian Heritable Limited. The Board of Manroy today announces that MUSA has completed the acquisition of a freehold property near Charlotte, North Carolina for US$1.3 million (£0.8 million). This property has been acquired so that the enlarged business of MUSA, following its recent acquisition of the business and assets of Sabre Defence Industries LLC ("Sabre"), can be consolidated into one facility. The Board currently expects the businesses of MUSA and Sabre to relocate into the Charlotte property by the end of 2011. Located in Spindale, approximately 60 miles west of Charlotte, the property is situated on approximately 4 acres of land and consists of 14,000 sq ft of offices, 83,000 sq ft of ground level manufacturing/factory space and 13,000 sq ft of lower level factory space, including an indoor firing facility. This district was selected by MUSA's management as it offers favorable incentives to incoming businesses and is also located in a recognised HubZone. The Board of MUSA intends to sell the existing property in Scottsboro, Alabama, which was independently valued in January 2011 at $0.6 million (£0.4 million). The existing premises in Nashville, Tennessee in which Sabre is currently located was acquired as part of the acquisition of the business and assets of Sabre and is occupied under a lease that expires in December 2012.

Micro Focus International plc Termination of Offer Talks and commencement of share buyback Termination of Offer Talks On 26 April 2011, Micro Focus International plc ("Micro Focus" or "the Group", LSE: MCRO.L) announced that it had received a very preliminary approach to acquire the Group. Since then, the Board has held a number of discussions with third parties in relation to various potential transaction structures in order to establish whether a suitable offer for the Group would be forthcoming. After engaging in discussions for a suitable period, the Board set a deadline for final offers of 19 August 2011. Based on feedback now received from these parties, the Board has terminated discussions and, as a result, Micro Focus is no longer in an offer period. As announced on 10 August 2011, total revenues and EBITDA in the three months to 31 July 2011 were ahead of the Board's expectations. EBITDA margins have also returned to approximately 40%. The Board is also encouraged by the initial steps being taken by management to address the Group's sales execution issues and has confidence in the future opportunities for Micro Focus to execute on its strategy and to create substantial value for its shareholders, customers and employees.

Centrebet Schemes approved by the Federal Court of Australia On 26 May 2011, Sportingbet announced a recommended proposal by the Sportingbet Group to acquire the entire issued and to be issued share capital of Centrebet effected by way of two schemes of arrangement under Australian law (the "Schemes"). Following the approval of the Schemes by Centrebet Shareholders and Performance Rightholders on 17 August 2011, the Board of Sportingbet is pleased to announce that, at the Second Court Hearing held today, the Schemes were approved by the Federal Court of Australia. The court orders in respect of the Schemes are expected to be lodged with the Australian Securities & Investments Commission tomorrow (23 August 2011), at which time the Schemes will become effective. The Schemes are now expected to be implemented on or about 31 August 2011, following which Centrebet will become a wholly-owned subsidiary of Sbet Australia Pty Limited. It is expected that the Centrebet Ordinary Shares will be suspended from quotation on the Australian Securities Exchange at the close of business tomorrow (Sydney time) and Centrebet will be removed from the official list of the Australian Securities Exchange on or shortly after 31 August 2011. It is also expected that the Consideration of AUS$2.00, payable in cash, plus one Litigation Claim Right and one Litigation Claim Unit (both as defined in the Scheme Document) (which are the additional consideration in respect of the Centrebet GST Claim) per Centrebet Ordinary Share or Performance Right will be provided to the Centrebet Shareholders and Performance Rightholders (respectively) on or about 1 September 2011. In addition, Centrebet optionholders will also receive cash consideration (being the difference between AUS$2.00 and the exercise price of each option) plus one Litigation Claim Right and one Litigation Claim Unit (both as defined in the Scheme Document) for each option they hold.
