What are the DSRA requirements for the US$240 million facility?

How much cash must be held in the debt service reserve account?

Is DSRA funding included in the US$100 million equity requirement or additional?

What offshore banking infrastructure is required and when will it be established?

Are there other mandatory cash reserves or accounts not disclosed?

DSRA's are practically mandatory in these types of deals. It's a bit confusing because not addressed, at least obviously . Unless they used different terminology somewhere?

"Post-closing" timing - This US$10 million comes AFTER financial close, but a DSRA typically needs to be funded AT or BEFORE financial close

"Closing fees and costs" This sounds like transaction fees, legal costs, arrangement fees etc., not a debt service reserve account

"Facility documentation is in circulation for signing" - Not actually signed yet

"subject only to lender approval" - Major caveat on the project contracts

"Meetings with co-lenders and respective legal teams have started with a view to signing facility documentation by the end of September 2025" - Still in negotiation phase

US$60 million equity still being finalized - "conditional proposals" that aren't locked down

Various certifications "currently underway" - Budget still not final

It is not possible to release full terms, when even the financiers can't possibly know all terms when most things are not signed off.

No serious financier would commit to funding without having all the key details and stakeholder approvals locked down first. It's a fundamental principle of due diligence. That can't be completed without all the signatures hence terms from every party, signed off.

Easy have a formal offer. No undisclosed major conditions?

It is not possible for Harry to say any bank has fully signed off. At best he could say , they signed off, but x and y must.....(he may leave that bit out of the promotion RNS)

It has never happened in history, any sector re a full sign off without other signed off terms elsewhere, run through the legal mill.

Management consistently uses language suggesting they're on the cusp of success ("imminent," "scheduled," "expected") while their track record shows systematic failure to execute.
