Basically, intabet is best developed and launched by the holder of a gaming licence that can afford to develop it with revenue from gaming. MDC cannot get a licence, not surprising after purple room history. PJ is now CEO of twl who are developing these platforms and online gaming products/services. Twl does have a gaming license for its existing operations, so my guess is it, along with the box nation contract, will go there with PJ, its developer. So, we get some cash / twl shares / both; by disposing of the intabet platform. Goal millions ticks along in the background on a licence, generating minimal revenue, but maybe enough to keep the lights on. This means MDC has no operations, so that means it must reclass as an investment company, rather than an operating company to meet aim rules. Rule 1 for an investment company, it must have an investment plan. It would appear that we have been approached by o&g types who wish to use our listing on aim to turn their Ltd into a PLC. They will raise cash for investment purposes and suddenly you have a totally rebranded and refocused company.

Yes for the simple reason that the company remains solvent with products and a yes vote is needed in the GM. The II's will want to protect their investments as much as we do. Ultimately, the shareholders could tell PJ to get on with development of intabet and issue shares to raise funds rather than issue shares for Leopard. According to PJ, there is better value in the new approach, the general meeting is their chance to prove that. PJ job is to protect the shareholder interests. MDC went into administration for filing issues, not financial problems, so he would have some serious questions to answer if suddenly, the company shareholders lost everything for no apparent reason and he luckily gets a job over at TWL. They can make this work in everyone's interests.

Into place. PJ obviously off to twl with our intabet platform for development. Let's just hope we get a good price for it. As long as that's the case, we will be fine. The map is tiny anyway and probably the listing is worth 300,000. It just means we are now not going to capitalise on the potential of intabet. Not happy about that. PJ has obviously been working this for a long time.

Takeover...when not if!! Should a company ever be valued at less than its net cash position? I draw your attention to Ovoca (OVG) - a small Russian gold miner that has a market value of £8.95 million. Unlike many gold stocks, this share has not been hit very hard by the slump in gold price for one reason. It has a huge cash pile that dwarfs its market value. If we take a quick look back at the Interim Results from September 2012, we get some figures for that cash pile. Cash stood at a massive 20.4m euros. Using the current exchange rate that is a massive £17.56m which is almost twice the market value You might ask, has that cash dwindled away since? The answer is most likely no. The company has hardly progressed work on its Russian gold assets over the last year or so meaning that I would expect the loss since to only amount to maybe £2.5 million at worst. Ok, so that leaves £15 million. But then we move onto an RNS released in December 2012 when Ovoca disposed of one of its gold assets named Olcha. The asset was sold to FTSE major Polymetal, a reputable name in mining. And get this, the asset was sold for 775,000 Polymetal shares. At the time, these were worth £8.4 million, but of course, shares in miners have collapsed since the start of 2013. Yet at today’s Polymetal share price these 775,000 shares are still worth a staggering £5.45 million. Adding those values together gives a fair cash and shares estimate of £20.45 million. What does that mean? It means that Ovoca is trading at less than HALF cash and shares value. Is that cheap? Well, if you imagine a takeover, the base takeover price could surely only be £20.45 million. And let’s not forget a major miner (Polymetal) was willing to stump up a huge amount for the Olcha Asset. Ovoca still has other assets: Rassoshinskaya and Stakhanovsky. The share price did rise on the Olcha sale, but has drifted back to 10.25p since. Is that fair value? It emerged late yesterday that Damaille Investments, the vehicle of asset stripper Brett Miller has taken a 5% stake in failing gold explorer Ovoca (OVG) and it is not because he is impressed by its Russian exploration assets. No-one could be. Miller paid around the current share price for his stake – c 12.5p- which values Ovoca at less than £12 million. Following a recent disposal the company is likely to be sitting on net cash and realisable assets of at least £25 million. Ovoca wishes to plough on with two relatively early stage gold exploration projects. But Miller will no doubt, rightly, argue that in the current climate that is pointless and that the company should return cash to shareholders. It is not as if Ovoca has covered itself in glory with the drill bit. If Miller goes for such a value realisation break-up I would back him. Ovoca should be returning £20 million to shareholders at once, selling its two remaining exploration plays and then seeking a non mining business to reverse into the shell that remains. In the current climate, the difficulty of raising equity means that a shell with £5 million in the kitty is probably worth at least £7.5 million. Very negative posts recently. Let's be a little more balanced. Our BOD are not crooks, they are trying to launch a very exciting offering. The market cap is tiny and in my view, this next announcement could be great for investors. The company was not suspended because it was going to go into administration, it was due to filing issues. MDC has a troubled history but has something special in intabet and very interested clients e.g. box nation, totepool etc. You might just be surprised what's about to be announced.

How could this ever be worth £1-1.2 in that timeframe. Where do you live? Cloud 9? Its not worth even the sum obtained for the casual businesses as they will burn this over the next couple of years trying to rebuild cupid. Probably with little success. I would suggest 35-70p range over the next 6 months
