TEG, that is a really good thought'' / post, and that's exactly what i was thinking
when that RNS drop, with 6 RE: to nothing left for equity holders, i though
it was a desperate attempt to rattle us to sell in a hurry.

and i was having none of it.. and i also believe the Judge is having none of it
as the BOD took S/H Equity at a huge discount to raise £1.7B to buy Regal
and to now say we will have nothing left, we are going to give it all to the lenders
by separating the equity from the business, is day light robbery to the cure,
and it will never be sanction by any court in the land, that's why we are given more time
to come up with a better deal, for all stakeholders IMO, if a bid at the right price to clear
the debt cannot be found, in these cost of living crises

in the next RNS, as the displeasure from the last RNS must be ringing in there ears
to come up with a better deal for all concern.

FULLY UNDERWRITTEN RIGHTS ISSUE RAISING PROCEEDS OF £1.7 BILLION IN CONNECTION WITH THE PROPOSED ACQUISITION OF REGAL ENTERTAINMENT GROUP



On 5 December 2017, Cineworld Group plc ("Cineworld" or the "Company") and Regal Entertainment Group ("Regal") announced that they had reached agreement on the terms of a proposal for Cineworld to acquire, for cash, the entire issued and to be issued share capital of Regal (the "Acquisition") (Cineworld and Regal together, the "Enlarged Group"). The Acquisition will be at a price of US$23.00 per Regal share, which values the entire issued and to be issued share capital of Regal at US$3.6 billion (£2.6 billion), with an implied enterprise value of US$5.8 billion (£4.2 billion).

Today, Cineworld announces a fully underwritten rights issue, which is intended to raise proceeds of approximately £1.7 billion to be used to fund part of the cash consideration for the Acquisition (the "Rights Issue").

The Rights Issue will result in the issue of 1,095,662,872 new ordinary shares (representing 400 per cent. of the existing issued share capital of Cineworld and 80 per cent. of the enlarged issued share capital immediately following completion of the Rights Issue) (the "New Ordinary Shares"). The Rights Issue will be on the following basis:

4 New Ordinary Shares at 157 pence per New Ordinary Share for every 1 Existing Ordinary Share

Details of the Rights Issue

Pursuant to the Rights Issue, the Company is proposing to offer 4 New Ordinary Shares by way of rights to holders of Cineworld ordinary shares as at the close of business on 31 January 2018 (the "Record Date") ("Qualifying Shareholders"). The offer is to be made at 157 pence per New Ordinary Share (the "Rights Issue Price"), payable in full on acceptance by no later than 11.00 a.m. on 19 February 2018. The Rights Issue is expected to raise gross proceeds of approximately £1.7 billion. The Rights Issue Price represents a discount of approximately 34 per cent. to the Theoretical Ex-Rights Price based on the closing middle-market price of 563.5 pence per Existing Ordinary Share (as defined below) on 16 January 2018 (being the last business day before the announcement of the terms of the Rights Issue).

SO THE RNS IS SAYING THE CLOSING MARKET PRICE OF CINE WAS £5.63P at the time
and they put 1b extra shares on the Market @ £1.57 to raise £1.7b

they certainly needed the equity then, and they will most certainly need the equity now
even if there is a dilution it cannot be separated from Regal where it went to in the first place

a very complicated mess that the court cannot sanction ATM with the argument
they have seen so far that's why we have been given extra time.

$3.6b $23 a share acquisition of regal was Dec 5th 2017 and the article reads..

Because of the size of the transaction, and the relative sizes of Cineworld and Regal, the acquisition has been classified as a reverse takeover. It is subject to approval by Cineworld shareholders, who will be notified of a meeting and given more details on the merger next month.

if I'm to lose my Money and make a decision to sell, I just want to lose with dignity
with my own decision, go away and never post again
and definitely if i was to tell everyone that i sold out last week and start putting the nail in the coffin

of a good out come for equity or a sensible bid

anyway yes IAN'' I don't see how they are going to move forward without S/H approval
as they must have got S/H approval to get that $5b loan that got us into trouble to buy Regal
in the first place
and no doubt the SP would have been in the £2 area at the time, although I'm not up to date
on what happen with that proposal, as i was not around, did not research it, and only been here
for 6 month, but if it's going to be D4E the equity part of it cannot just be discarded by the courts, IMO
as the equity must be worth something for them to swap it ?

see what happen tomorrow, and if there is no more scary story from the BOD, that the equity
will be thrown under the bus, suspension or leak to the press, to cause panic
i would expect the SP to continue it's journey north, again bit by bit until we hear otherwise

£63 KW PA from £8 KW PA a 750% uplift in the price we are getting ATM
with at least 5 more plant to come on stream, and PK say its pure profit
in that podcast last week and because demand is far outstripping supply
we could get a lot more than £63 in the months ahead

can you imagine when these new plant come on line?
I'm sure the next set of result will show a huge uplift in revenue
and profit and a break even early 2024 with a surplus, if LC don't get his hands on it LOL!!

one can only imagine they sold out last week Friday 24th
on the 425 post from every angle telling us all to sell before its too late..

a big short was taken out on the last RNS IMO and it was a big shock
to the usual suspect that we got 1 month & 10 days reprieve from the court,
as i think the judge can see it's going to be a lot more complicated than the
unsecured for pandemic $4.5b we owe to the lenders ..
who will be severely out of pocket IMO, if CINE is forced to sell any part of the Group
for pittance

i will say it again, lots of big tech oilers Pharma's take a lot of money
through funding funding funding, and has never made a profit
and they are still paying down debt to there suppliers and banks
electric gas wages on a monthly / yearly bases they are all debt
what part of it don't you understand

why don't you just say you are jealous of my post

CRUIS1, i can assure you that there is lots of CO out there paying
down there debt, on a monthly / yearly bases and have never make a profit
lots of big tech show revenue in billions but still don't make a profit
there is a reason for this'' because they all write it off in the research
and development department ensuring they never have to pay tax
on those billions

I think everyone can see the huge disconnect with asset we have and MC ATM.
and with the price we pay down debt with bondholders / warrant holders
0.25p / 0.45p respectively

lastly MH must can see as well, that we are going to need a series of regular news

glad i could have been of some help lads, in the past 2 weeks
by spreading some positive thoughts and hope, on a possible good outcome
in the face of the bashing we receive from the last RNS

I have always hope for more time for MOOK and lawyers
to get the best possible deal for everyone and not just lenders
and had a feeling on the last Motion filed in Error, that they was going round in circles

1 can only hope that we get back into the 5p before April 13th
and it gets adjourned again, so we can keep paying down debt
