What was that drivel about improving the sensory experience further. Users want a firm response and not to smell 'warm apple pie aroma 'from American Beauty ! Or popping candy flavor. The expired stock write off is terrible planning and suggesting that the partners, like Haleon, were too optimistic rather than holding your hands up and saying we screwed up in our forecasting shows me they still don't get it. "we believe in the value of what we have" said the interim boos holding the bag of magic beans. The 3 presenters sounded like they were giving their last words before heading off to the firing squad. I so want to take a gamble at this low price, just in case they can get some traction and new markets like Brazil do come on stream but my head says the ship has sailed. Can anybody convince me there is true upside from sales of £1M. Have people tried Eroxon and can they say that it works for them repeatedly?

Back in late January 2025, when I last posted on here at 30p share price I was called a "dreary de-ramper" for predicting there would be an imminent drop in price if repeat sales were not promising. I was told if I had already exited this share then I shouldn't post my opinions on this one or post to counter a sushi loving ramper (who has now disappeared from posting here). I take no pleasure in seeing this share at 3p but the presentation was dreary and offered little hope. I doubt they really believed what they were saying themselves. Repeat sales for Eroxon is everything for this business. Nothing else matters here and I fear that the efficacy level of the product just isn't there for that to happen. The best you can hope for here is a B2B sale of products which is offering shares in the acquiring business. Could that be worth a speculative gamble at this low price ? Maybe, but I would have wanted a more positive presentation to consider that as anything more than a bet on the 2:30 at Kempton !

Well well well. I expected the funds on Monday and they arrive on Friday. I waited 13 years for this exit, longer than I held any other stock because I knew people who were there at the start and I expected the rewards to be much more after that long long wait. Could have been sold for double the amount in 2020 but I, like others, felt the Board of SiS would grow some nuts and dispose of Mr Moon earlier. They never did because ....well you have to work with him to know that. I also underestimated the new teams willingness to throw the older shareholders under the bus in their haste to get rich. A valuable lesson learnt. I am going to spend the cash on something very frivolous and save just enough to buy a bottle of fizz for when Moony gets his final P45.

Well the new management says it will have to invest significantly to take this business to the next level of profitability and that this would be more easily done as a private company. I urge you all to watch that story with interest. I don't believe for one minute that they will do that. They will flip this business for a significant multiple of the £80M in a short period of time without much effort at all and they will do it on the backs of the long-term investors who built the SiS infrastructure over time. Just watch this space and watch the principle players enrich themselves. Keep a legal eye on what they do because there may be some recourse in the future if they do it with undue haste. I guess I now hope that SiS will fail and that another unplanned scenario like the Covid pandemic will teach them a good lesson. Next time they hit a tough spell they cannot simply turn to the AIM shareholders for just one more loan !

MinTid - I think they had to set up for an AGM, just in case anything went wrong with the Courts and the takeover deal timing. That appears highly unlikely at this stage. I simply registered against these motions as a protest vote but there will be no AGM and none of this will matter. I hope karma will get to the BidCo people. As I have said before, some people bought shares in 2012 or whenever that reverse takeover by Provexis plc first placed SiS on the AIM market, and they supported the business through cash raise after cash raise over more than a decade. Many of us hated Moon and his simplistic idiotic approach to running the company but we knew he would go at some stage and that the business would be a winner. Then to have these guys come in and snatch the business at a price of half what it was floated for (and half what it was in 2020) is verging on criminal (at least morally). I hope Karma will catch up with the BidCo team for their opportunism and for not offering any stake to those who loyally supported SiS . That is why you should never invest in AIM. The general shareholder is too small to have a voice. Buy stocks in bigger companies where there are not a few people manipulating the business for their own enrichment.

There are no shares after today. It will be a private company. You will receive 34p per share that you owned and you should receive it on or around 30th June 2025, unless there are unexpected delays. If you hold shares electronically in CREST, the money will be transferred directly to your account and after today you wont see your holding in SiS. If you hold shares in paper (I know some still do) you will receive a cheque. The new owners are not offering you a stake in the new business , just a pay off. They dont want to share in the rewards when they flip this business and sell it for >250M in 2 years from now. That is the robbery !!

Red Dragon - Dont understand your post. The numbers are out following yesterdays vote. They achieved the vote they needed. 90% for the offer and only 10% voting against. What do you mean by "not near the number required"?

I guess they make 0.5p per share (gross) when the deal goes through and so a 10M share trade nets them £50k before fees. Still, who is selling at 33.5p now when they get 34p in a months time. This needs looking closely at because it smells of even more dodgy dealing.

I dont understand how they got 80-90% of those who voted to go for it. I guess a number of the long term institutional investors had averaged down their per share cost over the years (much as I have) with all the dilutive fundraises of the last CEO , so they still have a profit. I wish I had sold more in 2020 when they were 70p but a profit is a profit and I will never to near AIM again. I wish them all bad luck for stealing from the investors who had patiently supported this business over 13+ years. Corrupt capital markets work to enrich the few.

Waiting for the RNS that tells us of the shareholder vote results. Are they celebrating stealing the business from under the long standing shareholders or huddled in a corridor trying to work out what to do next i.e. increase their derisory offer and acknowledge that the shareholders weren't minded to be 'mugged'. Wordsmithing how the long-standing shareholder base has voted to stop their little heist and spin that positively ! Will they reconsider the offer or threaten dilution with a major fundraise to deliver the growth they said would be costly. Come on and reveal your hand !

Red Dragon - If I read this RNS correctly it is just a small (if rather embarrassing) error for DW. He doesn't have rights to all the shares/options he thought he could speak for in this acquisition. Only a small adjustment though, down from 7M to 6M shares and he is still only a small player in the scheme of things. I still think its 75% of the vote BidCo need to delist (and not 90%) to get over the line and sell the business from under us. Surely they cannot achieve that level but the RNS doesnt suggest a counter-offer or admitting defeat. What next?

Interesting to see a few new investment groups grabbing 1% of the business here or there and making announcements that they have the a first public position in this company. A couple of million shares for Castlebar Capital and Trium Capital. Are they just having a gamble on behalf of their investors (probably) that this acquisition may need to go higher on the offer before it succeeds. They certainly aren't buying at that level to have influence on whether it happens or for long term investing. Just odd to think about who is selling stock at this price close to a decision on the offer that has been made. It could only be an entity who felt that the current deal may not go through and yet likes the idea of 32p. A complex game is in play and some new names are just having a gamble that they can make money on this deal not happening.

I agree with Red Dragon. They are providing less than full disclosure and hoping that confused investors will miss the point. Am I right to believe that they need a 75% vote in favor of this "sell out" (I cant call it anything else) and in order to be able de-list a company from AIM..... and not just a simple majority (50.1%). They don't spell out clearly what they need in the documents and just hope some apathy creeps in. As I have said before we private shareholders in SiS make up a small fraction of the equity and so it will be the early institutional investors, who were funding this company at 50-60p fund raises, that will determine if this deal is blocked. Why would those investors agree to this deal unless they just want to cut and run with their losses. I imagine the Board will have a running tally of the votes coming in and know well before the Court Meeting is they have this deal in the bag. Game on !

Voted "no" nice and early. I remember a meeting recently where the Director was intending to stand for re-election until virtually the day of the meeting when it became clear he hadn't the necessary support to get re-elected..... and so decided not to stand in a hastily produced RNS. Hopefully they get enough "No" votes on this proposed takeover to make the Board realize that they might need a re-think prior to the key dates. We want a higher valuation

Well they now have 42% voting for the sale. Increasingly desperate or confident in their announcements? Mr Zhang will withdraw his 5% support if there is an offer of 37.4p or greater for the business from another source, so fingers crossed that a counter offer is incoming. I am still voting no and still think this game has plenty to run. There is a battle on for the business and its not over yet. The Board must know there will be a strong no vote from a few bigger investors and they are trying (desperately) to say we have momentum. Sorry Board Members......its worth more that 34p

Its hard to know what to read into all these 8.3 forms in RNS. Some are clearly dealings by parties currently advising the company who are selling up to be clear of conflict but there are a few unusual purchases by high net worth individuals who I cannot imagine are buying now to make a £0.01 premium (at some risk) on the sale. Are they getting in to join the "no" vote or gambling on another third party offer? Do the "independent Board members" and supporters need 75% to get this through? They may struggle

Alfista - You may be right but I cant see clearly that they have the majority they need. A number of larger shareholders were 'in' well before the 17p dilution and may, like me, feel they have very little reward for their loyalty over the years. I suspect they do feel they can get to 50% but maybe it isn't a done deal. The wording of the announcement is intended to scare shareholders of further future dilution necessary to hit significant profitability if the business remains listed but I dont think that is necessary as the business was close to generating profit. It would just take time. I am hopeful there will be a significant "no" vote but if that's not the case I have plans to spend the cash. It wont ever be re-invested in AIM as I dont believe a private shareholder can win in that market. Loyalty counts for nothing when there is illiquidity.

Any chance of a higher offer now that this one is in play ? Those now on record as being 'for the deal' appear to have 40% of the votes sown up in advance .....but that isn't yet enough and so they need more. Maybe others will join me and vote "no". Prior to the reorganization in 2024, I had more shares than some on the Board of Directors so I remain hopeful of somebody throwing a spanner in the works. Its worth more than this 34p and despite the potential buyers saying they need to invest to secure future profitability, I think they will just flip it quickly making even more money.

It will certainly be my last ever investment in AIM. As you say we keep faith with the new management and in a business that is moving towards profitability ....and then some outside group comes in and says "well its a premium to the current share price" so you should be happy to accept it. Its a 39% loss (not a premium) on the price they floated at 12 years ago. 50% less than it was in 2020/21. Its highway robbery. I will make a profit but my pocket has been picked and I would risk AIM again. Maybe somebody else will think this business is worth more than £80M??

A Committee (part of the Board) are "minded to accept" ! It is a ridiculous price. I hope this is a just being seen as a 'tempter' RNS to see what other offers are out there because it certainly undervalues the potential in this business. This company floated at 56p twelve years ago and many investors large and small have supported this business through raise after raise. I know a profit is a profit but come on 34p. Get real
