ARC Minerals (ARCM) – Corporate – Completion of the disposal of Casa

ARC announced late last week that it has finally disposed of its 73.5% interest in the Misisi gold project in the DRC. After a protracted period of time ARC will now be paid $0.25m in cash and be provided with shares in a publically listed company in Canada to a value of $1.25m (within 90 days). In addition, ARC also has 3m shares in an African agri-fintech business which covered a $5m loan note issued by the acquirer – these shares are currently worth $7.5m. ARC also has a royalty over gold production from Misisi – a $1/oz royalty on a resource between 1-5Moz, $1m in cash if Misisi roduceds 30koz gold within 5 years of closure and a 1% NSR payable on production up to $25m
ARC also reported on a high resolution airborne geophysical survey over its prospective copper lience sin Zambia. These highlighted 20km of strike length to further investigate and complements the geochemical interpretations that show that the Muswema target is high value, high priority target along with Cheyeza and Lumbeta. Other targets were also found which will be evaluated.
WHI View: The news of the disposal of Misisi finally allows ARC management to fully concentrate on its copper assets in Zambia. We view the potential in these licences highly. ARC is lining up the targets to drill test and with additional funds from it sale of Misisi, along with its existing cash holdings is well funded to drill test its anomalies.

The recently elected Zambian Government recognised a corrupt mineral licencing system and is taking decisive
action to restore order to the Mining Cadastre Department. The Minister for Mines and Mineral Development, the
Hon. Paul Kabuswe MP, released a statement on 23 February saying:
The Ministry of Mines and Minerals Development has recently been dealing with alleged abuse of the Mining
Rights administration system of the Mining Cadastre Department. This has led to allegations of corruption and a
serious damage to the reputation of the Department and the Ministry.
In order to establish the extent of the problem and determine what corrective actions need to be taken, the
Ministry is imposing a one month moratorium ...
The moratorium of the Mining Cadastre Department, initially for a one month period, was extended to provide
additional time for an audit of existing mineral licences, a review of departmental processes and reorientation training
for staff.
