Directors have an obligation to act in the best interests of the company. They are not there to act specifically on behalf of shareholders. There are many stakeholders in any listed business and as shareholders we are just one of them. Threatening action against the company is IMO pointless unless you can prove that a final resolution to the Prim matter has been agreed and not communicated. In terms of the administration matters I agree that is sloppy, along with the fact that JS when I last looked was still active as a director. My gut feeling is the Prim affair and JS's removal are linked and I worry that the placing shares were not issued as admission was not confirmed by RNS. The BOD know they have work to do but threatening them with action isn't the way forward IMO.
