AZ is not weathered CEO of a huge public company dealing with investors through a specialised comms department. His companies are all pretty small - 1-50 employees and this is his first experience on the stock market I think... and dealing with private investors. I think he is trying his best and there is probably a lot to learn for him on the PI relations

After looking at the shareholders of Riverfort, we discovered a 4.64% shareholding by Shakoor Capital Limited, run by ************* contributor and good friend of Toms, Waseem Shakoor. Waseem (WShak) is often speculated as another orchestrator behind various attacks on the ADVFN and LSE boards.

If, with all of this new information, we look at the motives for Tom to ‘destroy’ Bidstack, it looks like they are clear. Bidstack are most likely first in line for Riverfort’s ‘kiss of death’ to quote Winnifrith. It would be interesting to know whether approaches have been made to Bidstack – if so, serious allegations could follow.

Tom Winnifrith continues to attack companies and maintain that he is cracking down on the corruption in the stock market whilst the regulator allows the above to continue unchallenged.

Tom appears to remain untouchable with no apparent connection to any UK directorship, despite various links to associated companies, some of which are registered to his home address in Wales.

At what stage will the authorities step in to thoroughly audit Mr Winnifrith, review the practices being allowed on bulletin boards and stamp down on share price manipulation against the loosely regulated Alternative Investment Market (AIM)?

Has a pattern now emerged that shows how Tom and his friends operate and could the same pattern be applied to other companies he has focussed his efforts on?

Tom Winnifrith, who is also linked to the website fivefreesharetips.com, tipped the same Pires Investments as “Tip of the Year”.

He therefore, has a clear and vested interest in Admix performing well and his tip of the year prediction coming true. What better way to help this than to destroy the competitor?

But a tip would be a fairly weak motive alone. We uncover much more.

It is interesting to note that Brian Kinane is mentioned again with his relationship to Shard Capital Partners LLP. An excerpt from the fivefreesharetips article states:

Sure Valley Ventures describes itself as “an entrepreneur led Venture Capital Fund that invests in early stage software companies. Working in partnership with Shard Capital, a specialist broker and asset manager based in the City of London, we focus on areas of large growth and potential over the next 5 years”. It was founded by Barry Downes and Brian Kinane.

Unravelling the spider web a little further reveals how Riverfort Global Opportunities also hold 24.3% of the issued share capital of ‘Pires Investments’.

Reviewing the Privacy Policy of the Sure Valley Ventures website, we uncovered more references of Shard Capital, with their 1bn AUM (market value of assets).

The links don’t stop there though. James Lewis is Founder and Managing Partner of Shard Capital Partners in addition to being Non-Executive Director at Riverfort. James is also deeply invested in the success of Admix.

Riverfort and particularly Brian therefore have a vested interest in the success of Admix. On top of this, Tom is desperate for Pires Capital to do well, but is there any other relationship between Tom and Brian?

Well further links reveal how Tom attacked Paternoster Resources prior to 2018 but abruptly stopped after the company was rolled into Riverfort with Brian at the helm of the Capital group. Why are Riverfort now protected?

We previously mentioned the UK Investor Show which has very close links to Tom Winnifrith. As the image above shows, both ************* and Riverfort have been event sponsors.

The same image shows Yorkville Advisors also sponsoring the very same show; just a coincidence? Interestingly, Brian was a managing partner between 2012 and 2015 at Yorkville Advisors UK LLP before it was dissolved in 2016. Yorkville Advisors (USA) however continued to sponsor the UK Investor Show in 2017. Why would a billion dollar hedge fund sponsor a tiny investor show in the UK?

The connections go further when you look at how Tom and Brian have also co-authored a whitepaper about making structured finance work, which opened with a comment by Tom referencing Riverfort’s reputation as death-spiral financiers .

************* also host podcasts, one being the free ‘Radio Edition’ which had its first six editions sponsored by Riverfort Capital between July 2019 and August 2019.

We were recently privy to a detailed document that was leaked on bulletin boards, proving the link between an ex-City broker to multiple aliases on both the ADVFN and LSE websites. In fact, there are many stories and suspicions that messages posted on these boards were deeply orchestrated attempts to manipulate the share price.

Quite often gems of material arise on bulletin boards, which, in hindsight show incredible insight to what was happening within a company. It is widely believed that the bulletin boards are used to leak information to drive trader buys, sells and shorts. However, these odd nuggets of truth simply open the door for the larger seeds of doubt and false statements to be made.

Many of the de-ramp attempts on bulletin boards are often initiated by something said by Tom Winnifrith or another author on the ************* website. Statements will be made to scare shareholders and drive the price down, whilst in the background city traders continue to buy or new placings can be carried out at a lower price for higher levels of share accumulation.

Motives for Tom to Attack
The motive of attack becomes clear when the related parties are laid out bear. We begin with Admix, a Bidstack competitor and look at the associated players who are invested.

Admix (WAM Group Ltd) are a competitor to Bidstack with investment by Sure Valley Ventures where they raised an additional $6.1 million in April 2020.

In turn, Sure Valley have an interesting major shareholder: ‘Pires Investments‘.

It is no secret that Tom Winnifrith has posted articles and appeared on various podcasts with what can only be described as attacks to virtually destroy the companies he goes after. His most recent attempts include the likes of Nostra Terra, Tern, Versarian, Novacyt (NCYT) and Bidstack. Added with no balance or evidence to back up his claims.

Part one of this exposé will focus on the latter example and the possible reasons for his relentless attacks on Bidstack PLC after evidence for a strong motive has been unearthed.

Bidstack Group describe themselves as

“an AIM quoted native in-game advertising company serving the global video games industry across multiple platforms”.

Tom Winnfrith set his sights on Bidstack via the ************* website. In April 2019 he deliberately supplied information to his readers and listeners about an upcoming placing. Something, which at the time, was not available to the general market and would have been considered to be market sensitive.

The ************* article stated:

“A City source has now provided me with more specific information, an offering is already underway but it is struggling”.

Many of Tom’s “warnings” point toward the origin of insider information, which in itself is a form of corruption. In layman’s terms the FCA would define Insider Trading as the act of dealing in securities that are price-affected by the information as well as encouraging another person or persons to do the same. Who exactly is policing the ‘sheriff’?

Evidence shows that Tom has systematically made efforts to de-value the Bidstack business with accusations of the CEO, James Draper being a “liar” and a “crook” amongst various other derogatory terms. His attacks have not only been limited to the CEO but have extended to Broadcast and Social Media Strategist Justin Waite, the Bidstack Nomad and a group of investors who decided to start their own investor website after getting fed up with the behaviour of posters on LSE and ADVN.

Many have pondered the question: “What exactly is in all of this for him?”

Some on Bulletin Boards have gone so far as to speculate that Tom Winnifrith works for Israeli companies due to his pro-Israel stance and is therefore acting on behalf of IronSource or Anzu, both Bidstack competitors. Well, what if our investigation unearthed something much deeper, murkier and far closer to home?

One thing that becomes quickly obvious when you follow ************* is that there are other companies in a similar market who are not caught in Toms crosshairs. This begs the question of whether his “sheriffing” only apply to certain businesses?

One example is Gfinity PLC where commentary between a Gfinity placing versus a Bidstack placing is contrasted like night and day.

Jinxy, I started this thread to get opinion as what I found was extremely unexpected! I am 100% invested and have been a firm believer in SYME and model etc, I own 3.5m shares - all bought on my hard earned money (all invested in this one damn share as I see potential) and I am a new investor. I dont give a **** about ramping or deramping. I am here to make money and only that. And I am learning. I found something and shared - not my own thoughts, so dont shoot the messenger|!

I put everything into this stock at the moment.... No other stocks (mind you I started investing only 4 months ago...), as soon as it is 1.4p I can sell just enough to cover original investment (my actual hard earned money) and will leave the rest of shares for at least a year to see how it develops. I think the major milestone is full year 2020 and outlook for the next years - not sure when but some time next year will place this company to where it deserves to be as there will be the first formal financial filing on LSE and i envisage this being very positive from what I hear. If progresses as expected - second year will be even better.
Now - market is driven by sentient and hope
in 1-2 years time - financials driven outlook. And it will be very positive I think when I look at their model.
