Important Information & Other Key Dates:

On 20th January 2020, Sirius Minerals (Sirius) and Anglo American announced that they had reached agreement on the terms of a recommended Cash Offer for Anglo American to acquire the entire issued, and to be issued, share capital of Sirius by way of a Court sanctioned Scheme of Arrangement (the Scheme).

The Scheme Price represents a premium of approximately 34.1 percent to the Closing Price of 4.1 pence per Sirius share on 7th January 2020, this being the last Business Day prior to the commencement of the Offer Period.

The Board of Sirius, having been so advised by J.P. Morgan Cazenove and Lazard, considers the terms of the Acquisition to be fair and reasonable.

The Scheme is subject to shareholder approval at a General Meeting and Court approval at a Court Meeting both to be held on 3rd March 2020. The Scheme will then be subject to Court sanctioning on a date yet to be announced.

If you can buy at 4.5 now on open market it's win win for AA the offer should be increased

A good CEO would have a alternate statergy that has to be considered and voted on. Currently this is a dictator ship where they seem to do what suits them. Deffinatly needs external investigation

We would like to be able to consider a standalone financing proposal that would enable shareholders to remain invested in the project, as an alternative to the existing takeover offer from Anglo American.

It'll make f all differance. It's been a unrealistic private share funded project from the start ramped by a devious Frazer, And now his friends will inherit our long term pension investment. Good job Sirius team.

Will this that AA will have the votes they need for the take over? Or is there another larger mining company in the back ground ready to make a counter bid????????

What anyone would call generating share holder value. Theft is a better description. 20p min share value. It's a no vote from me and many other local holders

The way treatment of Sirius minerals share holders by the company's CEO is dispicable absolutely dispicable.

At this time, the official Scheme document has not been published. It is expected that the Scheme document, containing the time table and full terms of the Acquisition, will be published within 28 days of the announcement made on 20th January 2020.
