I disagree. The BoD as you call them, are shareholders too, why would they want to cause damage to their own company and holdings.

My belief is this comes from the broker side of things more . Actually I do not entirely know how a placing occurs but clearly some get told and my guess is it is meant to be kept confidential. I would say it involves a few people who make phone calls so as not to leave an email/text trace as such. Not difficult really if you have some dishonest individuals who have no conscientious or are not law abiding individuals looking to make some easy money.
