Imagine the Orient Express, 30 carriages of luxury, winding through the mountains with sharp climbs and descents. ELI is the second-to-last carriage. SLE is the very last. A mechanical fault detaches them both from the train (Oh for understanding the Power is the Engine out front). At first, they rattle downhill together, but then they detach from each other. Now ELI and SLE are separate, gathering speed on the same track, no brakes, no control, and no chance of re-coupling.

What’s the outcome?

That’s where we are. And yet you keep talking like it’s business as usual. You’re living in Lala Land. So answer me this: who, and why, would put new money into this runaway situation now?

And yes, if you knew what we know today, your entire attitude would be very different, there is not a single creditor who wants to see SLE/ELI fail as they are owed money. If it all goes completely liquidated, we all lose. You came across once upon a time ago as an educated shareholder, maybe this lengthy and elongated suspension has created problems for you in terms of logical thinking and approach. But my question remains, who and why would invest money right now, I am honestly interested in your formed position. Your answer if you dare provide it will demonstrate to me your real knowledge about whats happening out here and with this project. I’d love to put the full reality of what’s happening out here on this board, but I can’t. What’s clear is that you’re completely detached from it. You seriously think ACOES has nothing to do with OML18? That level of ignorance is yours alone, and you own it.

Come to Lagos. Let me introduce you to the people who actually know what’s happening with ACOES. Until then, here’s a straight question: where’s the financing coming from? Why would any lender or investor part with their cash for this project right now? I would love an honest and strategic answer, but you 100% cannot find one to give me.

Last year, the ask was $180m. Today it’s closer to $250m and climbing. Where’s the commercial logic in continuing with that? There isn’t any.

I lose, you lose, we all lose. Too much wahala for SLE. That’s the reality.

BSwan – I’ve got nothing against Bluerill or any other shareholder. We’re all after the same thing: a return on investment, or repayment of what’s owed. Bluerill brings passion — some of it I agree with, some not — but the real story isn’t in these posts, it’s in the power play around OML18.

And right now, that power play is massive. Even if Trump himself stepped in, he couldn’t fix this. Too many polarising personalities, too much jockeying for control, and no appetite for sharing.

SLE/OF came into this with the right intentions: raise capital, build something solid, create long-term returns. But this is Nigeria. We’ve been bidding projects since 2013 that never got past FEED — blocked by politics, regional tensions, oil theft, insecurity, harassment, kidnappings, ransom demands, and yes, lives lost.

Here, it’s not about tribes — Igbo, Yoruba, Hausa — it’s about the cabals. The Godfathers who hold power far beyond the presidency or NNPC. In this environment, power dictates money, not the other way round. You can bring world-class solutions that work everywhere else, but here it counts for nothing if they don’t want you or you don't have a relationship with that power.

Even the German government bond proved meaningless. Why? Because it was just money. No power behind it. And if you’re not wanted here, you don’t operate here.

I say this as someone who lives and works here. Nigeria is a country I deeply respect, but it’s unforgiving. It will swallow you up and spit you out overnight. If you can leave with your phone, a small bag, and catch a flight home, you’re lucky. Some expats survive and succeed, but only after paying in blood, sweat and tears.

That’s the reality. We all want SLE to pull through — but let’s not kid ourselves. Hope doesn’t change the power structures on the ground.

I am an Irish Citizen, I would love to see an Irish company like SLE make it here, it would be a huge success story back home. But one thing about the Irish we fight to the bitter end, I expect that of SLE until you can't fight anymore.

Oh dear Bluerill, strong words accusing others of spreading “misleading information.” Let me give you some perspective.

I respect your position as a shareholder — we’d all like to see SLE fix this mess and deliver returns. But while you sit behind a keyboard hoping for the best, the reality on the ground here in Nigeria is starkly different. This isn’t just business, it’s politics — and unless you’ve lived and worked in Lagos or Port Harcourt, you won’t grasp the scale or complexity of it. If I sat you down for a beer to explain, we’d be there for weeks.

We’ve been active here since 2007 and we’ve got the scars (and legal bills) to prove it. From that vantage point, I can tell you: it’s becoming next to impossible for this project to be realised in its current form. The chessboard has shifted too many times. The debts are huge, the creditors are circling, and the court cases speak for themselves. The key stakeholder has no cash, can’t raise it, and even if they could, the hole is simply too deep. These are FACTS!!!

Our belief? This project will likely restart under a different group. That’s not ideal for shareholders or contractors like us — but it’s commercial reality. If ELI is wound up by court order on 25th September, it’s game over for the current structure. At that point, whoever is waiting in the shadows will step in.

I say this not to dash hopes, but to ground them in reality. You’re welcome to come here and see it for yourself — because from where I sit, your commentary has no bearing whatsoever on what’s actually unfolding on the ground, I don't mean that disrespectfully, that is just the truth.

hi bluerill, i’ve often agree with your take on sle, but on legal spend i have to disagree. also i have been a promoter of sle in the last few months, because i see what you don't by being on the ground and this forthcoming court case has all of us extremely concerned, that this indeed may end eli and sle involvement and we end up with a new party at the table. i hope this is not the case.

1) “not the litigant = no costs” is a misunderstanding.

even when a company isn’t the plaintiff, it still incurs costs to:

retain counsel, prepare affidavits/witness statements, file responses and interlocutory applications; attend (or seek adjournment of) hearings;

manage creditor communications and regulatory notices; and coordinate across jurisdictions (uk/ireland/nigeria).

none of that is free. legal defence and insolvency-related work burn cash.

2) lagos proceedings in may matter.

eli’s non-appearance at the may sitting led the court to grant petrolex leave to advertise its winding-up petition. that’s not a final judgment on the debt, but it’s a serious procedural step and raises counterparty risk. it also forces eli to spend more, not less, on urgent legal steps (applications for stay/injunction/appeal, compliance with any advertisement directions, etc.).

3) writing as a creditor.

my partner and i are creditors with accrued interest and legal costs dating back to 2021. i won’t share figures here, but i can say other sub-contractors and suppliers are similarly exposed and extremely concerned ahead of the september hearing. if a winding-up order is made against eli in nigeria, eli nigeria could enter a formal insolvency process, assets could be frozen/realised (this part has already happened to a large degree), and a new party may ultimately step in. that’s the commercial reality and maybe there is a plan b playing out here.

4) five years on, patience is thin.

the federal government/nnpc need an operational solution; the pipeline is needed now, not in theory. prolonged uncertainty makes financing much harder and increases the likelihood of a reset under court supervision.

5) the funding question.

given sle’s delisting and the breadth of disputes, legal fees must be getting paid from somewhere—uk insolvency work, irish litigation, nigerian insolvency defence, etc. that is precisely why i push back on the idea that “they aren’t spending because they aren’t the litigant.” they must spend—either to defend, to seek relief, or to manage insolvency consequences. i don't assume for one minute that of is sitting back drinking ****tails on a beach in dubai, this must have the man completely stressed out on a level most of us could not comprehend.

bottom line: regardless of who brought which claim, sle/sle eli/eli nigeria are incurring legal and insolvency-related costs. the immediate issue is not whether there’s money —it’s how sustainable that spend is and what happens if the court in lagos makes an order

Forgot about this San Leon ELI and Ocean Pearl Case, but looks like the order was uploaded to Companies House yesterday, but i don't think there was type of assets in this business, however that said Ocean Pearl most know something everybody does not or they would not have pushed this to the end, so clearly there was something to gain from it? The big one to watch out for here that could collapse everything is the Petrolex Oil & Gas company and their winding up case in the Federal High Court against ELI Nigeria on 25th September, this has already been advertised and the courts granted authority back in May to permit Petrolex to advertise it. If the courts decide its time, then ELI Nigeria is finished. I do know that GT Bank are a secured creditor in this relationship, but $13.8m owing to Petrolex by ELI, that is not a small debt. If the judge rules in favour on Petrolex here, this could all end very sadly. To many court cases going on with SLE, not enough focus on funding raising. Question is who is financing all the lawyers when there are creditors and shareholders left in the dark, because there is no money apparently?

No issues:-) Bluerill is a passionate Shareholder and in this situation passion=staying positive. There is light, and its getting brighter. This project is happening. I am very convinced that OF will turn it around, it may not be how he envisaged it, but he will and all you shareholders will be truly rewarded, that much I am very sure off.

And this has relevance to my post how bluerill? Clearly OF is not Steve Jobs or we wouldn't be having this conversation. If he was Steve Jobs, you would be sitting by the pool in your villa and millions in the bank, lapping it up, instead there is 47km of rusting pipe sitting in a yard in Port Harcourt with a polluted beach nearby, there is the difference between SJ and OF!!

Sadly no updated phone information, the address change is on public record, but i would assume the existing number is a reception no for the main serviced offices for the City West Business Campus.

Don't want to give anyone mental health issues, having read a few pages of this chat this morning, been away for a while, but good to know all sides are still fighting the 'Word Salad'.

They changed their business address in January of this year.

From a perspective of being on the ground, whilst severely delayed in terms of refinancing and project timelines, all parties are aligned, whilst disputes remain between one or two parties still, this is really a case of securing the refinancing now. However there is a lot of positive movement, but momentum has slowed a bit over the last couple of months. The expectation is something conclusive will be in place by end of H2 2025. Upstream of the project, there have been a lot of negotiations between the parties and alignment, after years of fierce fighting, but the project as I have always said will get done. Hope everyone is in good health and stay positive.

The LEI redesignation confirms San Leon formally changed its address on 21 January 2025, a move registered and corroborated through the global LEI system.

While San Leon’s official website and previous filings continued to list the Citywest Campus location, the LEI entry is authoritative for legal and corporate purposes.

As an Irish-incorporated public limited company, this address change would also be reflected soon in filings with the Irish Companies Registration Office.

Whao lots of action on here in recent days, not looked at this chat board in a few weeks. I said a few weeks ago, the finish line was getting close i.e. end of Q1 25, and it certainly is approaching. All sides involved on the Nigerian end, who have pretty much hated one another for the last 4 years have now come together.

Not quite sure how the new structure looks ATM but enemies have become friends at least in business terms and SLE are very much there, i only hope that SLE have a plan B, as I wouldn't want to be using this investor, who clearly doesn't want to be a part of the final agreement, but since he is taking this legal action, I am assume it is in the hope that he can secure some of the finance from TRAM that he needs as I am hearing others are also putting ready cash in, therefore he needs a seat at the table and very quickly, this project cannot be delayed any further. So much has happened over the last 6 weeks and I understand some elements are in Pre-Mob phase.

If I were SLE, after all this over, I would engage Netflix and do a 6 part documentary series, call it 'Getting the Deal Done', they would raise so much cash (great for the shareholders), but I think this is one of those stories, that need to be told, if for anything future awareness and education in a highly geo-political environment. Remember this all started just before Covid, during Covid, post covid, change of administration, global events, war, a collapsing Nigerian economy, the NGN being devalued multiple times, pipeline vandalism increasing like never before. I would certainly pay a subscription to watch this series. Not a bad fund raising idea, if we all be honest about it..

Bluerill, you seem to be somewhat wound up here and as a SH you have every right to be, however not changing my position. I came into this to support a colleague and in a very fortunate position to understand everything that is going on. I wish I could truly put on here what is happening as it is very complicated, but there is a defined end game and soon. SLE are very much at the table as are ELI, it may be shaped differently, all parties and there is about 10+ of them are aligning on this. Bear with the strain a little longer, it will be rewarded. Some health advice and I am not a shareholder, however it looks appealing when relisted. Take a chill pill, its happening and hell you all deserve some hope after a years of nothing. I know a lot and it hurts that I cannot share it, but there is actually a lot out there right now in the public domain about what is happening, not all of it, but a good chunk....go find it....

XYZX - You hit a few nails on the head in that reply. In the extract I posted the other day lays some answers and clues as to what is going on. The Contractor Risk service model solution is becoming a huge incentive in the Niger Delta today, GC have done this with the works on the ELI Akaso, so by virtue have become a stake holder and investor who will no doubt get a return on the revenues pumped via the evacuation of Crude from OML18 and neighbouring blocks, this will recover debts due to them over time. It may be the case that other major creditors adopt a similar strategy as the debt pile and debt interest is growing daily.

I don't see how any investor is going to dump cash into this with a debt pile (whichever figure it is), but lets assume circa $80/$100m dollars today and it must be somewhere around this figure given nearly 5 years from the original start date.

They will invest fresh as if it was at zero starting point, so where does that leave all the existing creditors. I reckon they will have to also adopt the Contractor Risk Service Model if they want to stay in the game for the restart, by virtue of doing so become stakeholders, thus diluting existing interests held currently by others which are really worth no value as it stands today.

If you ask around to those who know, the restart is soon and the new investment from wherever it comes as we understand it will target getting the pipeline built, we believe all permits for that RoW expired and are in the process of being renewed (Not Cheap), all systems up and running and pumping oil by the end of Q2. If you are in the know, there is lots of clues in that article. Where does it leave SLE and ELI, a very good question, SLE are still a business and shareholder and supposedly have access to a German Bond of which nothing has happened. ELI are a name, most if not all the staff left and took other jobs elsewhere in the industry. If it was in Europe or the UK, this would be similar to Pre-Packaged Administration in my view as it is a going interest, wipe the debt, get the right finance on the right terms and start again, those impacted can be taken along for the ride (Contractors), but their losses recovered gradually over time on a contractor risk service model (Hard for them to do that, but I am sure they can negotiate a good return.

Shareholders, god only knows, my take if SLE do have that bond and can use it to raise some of the cash, that will go towards the execution cost, I just don't see how they could raise cash to pay off all existing debts. At the end of the day this pipeline is a managed asset to pump other operators crude oil, so they charge a premium per barrel per day, I don't know what those premiums are, but last heard about 3 years ago it ranged from $7 to $9 per barrel pumped, that was not this pipeline. This may well be lesser or greater per barrel today. One thing is certain, it is a piece of oil pipeline real estate that is desperately needed today.

You May or May not take some comfort from this article in the public domain, but read between the lines is my take. Some Creditors may well become significant investors/shareholders in the new structure, that is just a thought on our side, but as I have stated before, there were many other interested parties who could raise cash locally to get this off the ground. Only stating the rumours we are hearing but it is the same rumours from various parties. There is a few other things we have learned that we cannot share on here, more recent developments, but this project is going live soon. There is a rumour flying around as to which bank took possession and of the ELI Akaso, however we did hear this morning it was bequeathed to a certain party pending a financial settlement. Again that is a rumour, but if what we are hearing is correct, this project goes live late Q1 or early Q2.

Hi everyone, been a while, was just catching up on this thread a short time ago. The rumour mill is flying over the last couple of weeks around the ACOES project. Our intel says that it is close to restarting soon, but under a different banner or possibly group, not sure what that looks like yet and have no idea whether SLE are part of that in anyway, I am sure they will be, but that is the rumours on the ground. Something is very definitely happening. Lets hope it has a happy ending.....We did hear that the ELI Akaso was not sold at auction, although it doesn't belong to ELI anymore, as it was taken with a view to sell and pay creditors, we have heard that a bank stepped in to stop the sale and took temporary possession of it until such time as the project arrangements were sorted. Thats all we know, but something is brewing in the background.....that much is clear.....
