Impairments;

Past Optimism Was Unfounded: The initial business case and valuation for acquiring Semnet were too optimistic.

Revised, Lower Expectations: Management has formally incorporated more conservative and lower expectations for Semnet's financial performance into its official accounts.

Clean Slate for Future Reporting: By taking the impairment loss now, the company "cleanses" its balance sheet. This means that future profits from Semnet will be measured against this new, lower asset value. If Semnet meets these revised, lower expectations, its future profitability ratios will look better than if the inflated asset value had remained on the books.

How do you arrive at 1.3p ?

The churn from 7th July to 23rd July was c372 million when I was keeping rough count after that we turned over big amounts on the days prior to suspension so my opinion is that of the c160m placing shares the churn is done. I had stopped my count on the 23rd for whatever reason.

Now do folk remember the endless discussions about the word "non- complete" in the RNA of 18th July.

Well the Annual Report has put that to bed and as many maintained it was a typo and it should have said "non-compete". see below from the report;

.....The notice of arbitration has been sent in accordance with the provisions of the SPA and sets out that the Company considers that the Sellers

have acted in breach of their non-compete undertakings owed to the Company, and also acted in

breach of their express obligations owned to Semnet as employees, which if the arbitration is resolved
