How we invest in shares TGTD is indeed down to us and not a NANO concern. My point is that if the full value of any dividend were taken off the share price there is a loss equal to the extent of CGT incurred, and loss of tax credit. For those wising to remain fully invested there would be the additional spread costs and stamp duty, which add to losses. Either way there is no ‘real’ money for anyone, just a return of capital less charges. That’s not why I invested. I wanted to see value through an increase in the share price. Get with the programme Brian as you are on your last chance.

@Tornado. I am not sure what HL could do, other than perhaps let the FCA know it considers NANO should update the market again, having previously said that details of the distribution were coming in Jan 2024? Did they intimate what action they might take?

Regardless of what they do, BT appears to have created a potential disaster, entirely of his own making. In the absence of news of orders, or at least expectation of them, he would know that most or all of a distribution will be shaved off the share price. I expect he is waiting to release news of some sort that mitigates a likely fall in share price when we go ex dividend.

In the worst case scenario, the dividend will do nothing but crystallise a tax charge for shareholders, which in my view would represent complete management incompetence.

I suspect the delay is mostly down to our CFO having secured a decent fixed term deposit rate for the funds, probably three months, with the benefit that it can be used to offset operational costs. There is also an outside possibility that BT hopes he may have some good news to issue. That would be so much better but I am not counting on it.

Current trajectory says the share price gets savaged when we go XD.

It seems to me that we are all but out of time for NANO to provide a distribution that offers ‘choices’ before the end of this tax year. The more straightforward options such as dividend or share buyback could still be delivered.

The more time that passes, the more I do wonder if BT is holding off for other reasons, for example, a second order of sensors (assuming we are in Vision Pro). That would simply ‘transform’ (sic) the transaction by limiting the impact on share price and more or less confirm Apple is an end customer. Just a thought.

@Bazzaman. Yes it smells does it not? Either some are acting on inside information ahead of bad news or there is some form of manipulation underway to relieve us of our shares - not selling and will await further developments.

If BT at least directed your message to someone else for a response, I think you would understand W&H. Blanking you is just rude and forgets the fact it is your investment as a shareholder that has got the company this far. Especially poor management when part of BT’s defence to quell revolt and fend off Hamoodi is acknowledgement that improvement in investor comms needed. If BT can’t deal with you enquiry what can we assume, other than he does not care?

If we are to take distribution to mean the money will be with us in Q1 then have you considered there are now six weeks, during which time NANO needs to finalise and publish the options, have shareholders consider them and perhaps also take financial advice, leave time for responses and then deal with considerable administrative task of allocating and administrating a distribution by a number of different methods. It is still possible but time is short and I think you might be underestimating the size of the task? Ever done it yourself?

I’m guessing not but some common sense and reading skills are required.

@Troublesome. As Alanis Morisette mentions ‘Transparent dangling carrots’. That is all NANO has ever offered the PI to this point, so a little more urgency would have been appreciated.

We need really positive news to push this company forward but it will likely come left or centre and out of the blue when and if it does happen. There is so little public information known about our customer and wares that we are really invested out of blind faith for prospects of the IR sensor and 2D sectors, rather than NANO specifically.

Delays over the distribution don’t help either. It could be we are waiting for tax advice but even if that were the case the continued lack of communication does not reflect well on the Board when they claim to recognise it as a failing that would be improved upon.

At the moment, I would not be surprised if the next RNS stated the dividend will be half of the stated amount and paid over two instalments, one in late April 24 and the other next year.

Hopefully, the new NEDs will give the Executives the kick up the backside they sorely need to demonstrate progress 🤣

If Apple is going to make more Vision Pro, and assuming of course that we are in them, then surely a repeat order will be the next announcement? After all, the first batch of VP sold out weeks ago.

@Nanonano. I agree the decision to settle would have been made in the knowledge there was ‘delay in sensor material supply by about a year’. The news that LOAM did not know about or act upon that is.

Much as I hate the fact that we settled for much less than was due, I can’t argue with the fact that that a difficult decision was required.

I do wonder if the delay over distribution might result from expectation of more orders (Vision Pro?) they want to drop pre distribution in order to avoid destruction of dividend value? I might be overthinking but it would be good if we could have cake and eat it too.

NGR. I view Kooba’s comment as an entirely fair and reasonable observation, which calls out BT’s inability to deliver value for shareholders to date. As things today, that’s a fact is it not?

Two sizeable contract wins in successive days, both in December 23 and February 24 tells us that product is in demand, seemingly in lower earth orbit satellites. What a difference in the share price today compared to Covid times and it could well go much further? Military project lead times are now very much shorter than they were, thanks to Vladimir, so I would not be surprised if that market opens for us too. Great performance by the Board and everyone at FTC. Wish I had invested more now!

My guess is that delay in distribution news results from the CFO locking Samsung funds up in a fixed rate Treasury product, which is inaccessible for a couple of months or so. Accountants can never resist the allure of a guaranteed return to help offset this years OPEX, especially when it is ‘free’.

I think the point to note Daz is that the Board vowed to improve communications greatly (think it was prior to joining this board) but since that time ‘things’ have really not changed much.

Obviously, no release can be made before the comms have passed all hurdles but NANO but could it have been done more quickly? My guess is that it could.

I agree, they could be a little quicker having had over a year to finalise the option.

Are the options not yet clear, or our CFO Liam Gray and others buy shares ‘blind’ in terms of what it would mean for the distribution element of their purchase?

Meantime, I suppose there will be interest due to NANO at least.

It probably looks that way when you consider how long I have been in NANO but I am not sure that Mrs ddubya would agree. The poor old dear has heard me vent off at NANO on more than one occasion!
