DESTOCKING: NEW STRUCTURED FINANCE FOR SMES BETWEEN REGULATION AND TRADITION
Inventory as leverage is not a new concept.
Today, however, it finds an evolved formalization in structured finance.
With Law 34/2026 (Annual SME Law), the legislator explicitly introduces the possibility of demobilizing the warehouse through securitization transactions, flanking – and partly modernizing – tools already present in our system (Law 130/1999).
👉 Specifically:
companies can transfer assets or credits to an SPV, which finances the transaction through the issuance of ABS, transforming illiquid assets into immediate liquidity.
But the most interesting parallelism is with a historical practice of Italian finance:
the loan with pledge on hams or wheels of Parmigiano Reggiano.
In both cases:
- the physical asset is the primary guarantee
- Value depends on quality, storage and market
- Asset segregation and control is critical
The difference is in financial engineering:
Today, risk is structured, transferred and allocated to the capital market, rather than remaining on the balance sheet of the lender.

The critical point remains unchanged, yesterday as today:
the quality and management of the underlying asset.
