EXECUTIVE CHANGES: Craft retailer TheWorks taps ex-Tesco exec as chair

(Alliance News) - The following is a round-up of London-listed company director and manager changes announced on Tuesday and not separately reported by Alliance News:

TheWorks.co.uk PLC - Birmingham-based retailer of arts, crafts, toys, books and stationery - Dean Hoyle will step down as chair in September, replaced by Carolyn Bradley, who will join the board at that time. Bradley is a former executive at supermarket chain Tesco PLC. She currently is senior independent director of travel food firm SSP Group PLC and of pub chain Marston's PLC. However, Marston's separately announces on Tuesday that Bradley will step down from July 31, having served on the board since 2014. Marston's says Non-Executive Director Octavia Morley will step up to senior independent director. Bradley additionally is a non-executive director of B&M European Value Retail SA. At Tesco, she served as group brand director, as UK marketing director, and as chief operating officer for Tesco.com. The Works also reports on Tuesday a GBP2.8 million pretax loss for the financial year that ended May 2, narrowed from GBP18.0 million the year before.

Xeros Technology Group PLC - Rotherham, South Yorkshire-based laundry technology that reduces water use - Hires Rachel Nooney as non-executive director. Nooney owns a marketing consultancy, having held brand and marketing roles at retailers New Look and Marks & Spencer Group PLC.

Time Out Group PLC - London-based publisher of listings magazines and operator of food markets - Hires Chris Ohlund as executive vice chair, starting Tuesday. Ohlund was head of Digital Media at Blick Group, part of Ringier AG, and also worked at Verivox Group, a German price comparison site for energy, banking, insurance and telecom services.

Cloudbreak Discovery PLC - natural resource project generator, including the Klondike copper project in the US state of Colorado - Hires Rory Kutluoglu as chief operating officer, Cam Bartsch as vice president of Exploration, and Henrik Mikkelsen as vice president of Corporate Development, all non-board positions. Kutluoglu is a Canadian geologist most recently on the technical team of natural resources-focused merchant bank Cronin Capital Corp. He also is a director of Temas Resources Corp, in which Cloudbreak has a 16% stake. Bartsch was senior structural geologist at Terrane Geoscience Inc and also worked at the British Columbia Securities Commission. Mikkelsen is an investment banker and portfolio manager who currently is chief executive officer of Zug, Switzerland-based advisory services firm Iridis AG.

IN BRIEF: Marks & Spencers tenders GBP228.1 million loan notes

Marks & Spencers PLC - London-based food, clothing, home and bank services retailer - Says it has tendered GBP107.2 million of GBP300.0 million 3.750% notes that are due in 2026, and that it has tendered GBP120.9 million of GBP324.6 million 4.750% notes due in 2025. This follows the invitation made to holders of outstanding notes to tender their notes for purchase by the company for cash in an aggregate nominal amount of up to the 2025 notes and 2026 notes maximum acceptance amount. The offers were announced in May 2023, and were made on terms and subject to conditions contained in the tender offer memorandum. The company also announces that the 2025 and 2026 notes final acceptance amount is expected to be set at GBP219.4 million in aggregate nominal amounts of notes.
