UK TRADING UPDATE SUMMARY: CentralNic Happy With KeyDrive Performance

(Alliance News) - The following is a round-up of updates by London-listed companies, issued on Monday and not separately reported by Alliance News:

CentralNic Group PLC - domain name registry and registrar services firm - Says KeyDrive SA, bought in 2018, has performed well in financial 2019. As a result, USD2.2 million in additional consideration is payable to Inter.Services GmbH. CentralNic says USD336,750 will be settled in cash and the remainder via the issue of 1.7 million shares. Inter.Services may still earn up to USD1.4 million in additional consideration in future. "We have been delighted with the performance of KeyDrive ever since its acquisition over two years ago," says CentralNic Chief Executive Ben Crawford. Separately announces the completion of its acquisition of the Zeropark and Voluum businesses for USD36 million. "This earnings-enhancing acquisition will greatly complement our existing, fast-growing monetisation business, while providing numerous opportunities for revenue and cost synergies," says Crawford.

Marlowe PLC - London-based safety & compliance services firm - Buys Black & Banton Occupational and Physical Health Ltd for an initial consideration of GBP1.1 million. Black & Banton provides occupational health services to businesses in the North of England and Scotland. For the year ended April 30, Black & Banton generated pretax profit of GBP400,000 on revenue of GBP1.7 million. The total enterprise value of up to GBP1.5 million includes a contingent cash earn-out of up to GBP400,000.

Kefi Gold & Copper PLC - gold explorer in Ethiopia and Saudi Arabia - Confirms the recommencement of drilling at the company's Hawiah project in Saudi Arabia. "The Hawiah deposit remains open at depth and beyond the existing 4km strike. Increasing copper grades intersected in the previous deepest drill hole at the Camp Lode indicate an excellent opportunity to add additional high-grade copper-gold resources during this phase of drilling," says Executive Chair Harry Anagnostaras-Adams.

Anglo Asian Mining PLC - copper & gold producer in Azerbaijan - Reports updated mineral resources and ore reserves for the Gedabek open pit and Gadir underground mine located at the company's Gedabek licence area in Western Azerbaijan. Says Gedabek open pit total mineral resources of 735,000 ounces of gold and 69,100 tonnes of copper. Says total mineral resources of 267,000 ounces of gold and 2,183 tonnes of copper for Gadir underground mine. "I am delighted to announce these latest JORC estimates for the Gedabek open pit and Gadir underground mines. These show the economically mineable Ore Reserves remaining in the open pit mine amount to 284,000 ounces of gold and 26,000 tonnes of copper. The economically mineable Ore Reserves for the Gadir underground mine amount to 49,000 ounces of gold and 191 tonnes of copper," says Chief Executive Reza Vaziri.

Adriatic Metals PLC - Cheltenham-based exploration & development firm - Has entered into a Deed of Settlement and Release with Sandfire Resources Ltd, where both parties have agreed to settle the dispute relating to proceeding CIV 1820 of 2020 brought by Sandfire against Adriatic in the Supreme Court of Western Australia. Sandfire has agreed to pay Adriatic AUD8.6 million in cash for the issue of 4.8 million chess depository interests in the company, pursuant to Sandfire's anti-dilution right under the previously announced collaboration and strategic partnership deed.

Yamana Gold Inc - Canadian-based precious metals producer - Agrees to buy all of the outstanding shares of Monarch not already owned by Yamana under a plan of arrangement for consideration, including cash and shares, of approximately CAD152 million. "The acquisition provides Yamana with a high-quality project with a significant mineral reserve and mineral resource base and excellent potential for further expansion," the company says.

Castillo Copper Ltd - Australia and Zambia focused base metal explorer - Reports "encouraging" results from a recently completed systematic infill soil sampling campaign at its 100% owned Mkushi Project in Zambia's copper-belt. Says results confirmed eight target areas with significant copper anomalism and strike lengths. "We continue to make good progress in Zambia across multiple assets. These soil anomaly results from Mkushi are highly encouraging since they extend mineralisation along strike from a known operating copper mine," says Castillo Copper's UK-based director Ged Hall.
