perfect squeaky clean shell company, not long now for that RTO
What about the 350k loan 14th feb 2019 ?
Is this the dotting of the I'd and crossing of the t's and prelude finally to comming back ?
This is a company with no income and basically on life support.
I would like the conversion to be 10 pence rather than 5 pence.
You could argue that if any one of us had £100k behind the sofa we could demand to
invest on the same terms, with all the attached risks.
I don't believe this loan note pricing will have any connection with a relisting price.
That will be purely down to the quality of any deal.
Any thoughts on the conversion price of the loan notes of just 5p!!
We've had options go out to DMH with conversion price of 35p, previous loan notes at 10p not we're down to just 5p.
If HWC does eventually relist, does this offer any suggestions as to price shares may return to market at?
Disappointing after 3 years if they don't manage to come back to market at a premium.
Does anyone have any experience of loan note pricing compared to market price?
Just sent emAil to Mac how much longer
......
after the flurry of activity.......
the big reveal.
hope it is good what ever it is. Nice to see a flurry of activity in preperation.
What are they up to ?
you tease, you
Since the Suspension Notice in September 2016 we have had
three announcements up to March this year.
In the last six weeks we have had nine.
It is hard to believe there is not a potential deal in the offing.
I have located a new private Company listed with Companies House, which
may indicate the target.
However, apart from being wrong, I will say no more on a public forum, to
avoid causing any issues to Highway Capital at this critical stage.
becoming a bit like buses but with nothing on them
2 rns and no new news - tic toc
Rns after 4.30 me thinks
heres hoping.....
We should find out what is happening, today.
The Company has been notified that the UK Listing Authority ("UKLA") considers that the making of the loans to Mylux fall under Listing Rule 5.6.5(1), in that they change the strategic direction or nature of the Company’s business away from its stated aim to find an acquisition that, in the Company’s opinion, would enhance shareholder value. As such, the Company has requested that trading in its ordinary shares be suspended with effect from today pending satisfaction of the conditions under the Listing Rules for readmission following a reverse transaction.
Is this share main market? Think the rules are different to aim
Pawlenty, I have a feeling that the priority is to get the quote back
nextlink, just read your post again. I notice you write "put aside", so you did notice the 'without' in Resolution 13.
I just hope long term holders aren't diluted out of making a profit on this. If so, It would be nice to be able to take part in any fund raise with the new shares.
Nextlink, I dont think you're reading Resolution 13 correctly. Second paragraph
This Resolution, which is conditional on Resolution 12, will, if passed, give the Directors power, pursuant to the
authority to allot granted by Resolution 12, to allot equity securities (as defined by section 560 of the 2006 Act)
or sell treasury shares for cash without first offering them to existing shareholders.......
Note the word "WITHOUT"
This effectively means these shares can be issued and the new HWC could come back with a market cap 5 times its closing valuation at suspension and long term holders are no better off.
If HWC comes back to market as a £50m company and all the treasury shares are released. We could be looking at a 10 bagger. Thats a big ask.
not sure what to think. they could mark down the new shares at a penny.
Resolution 13 if passed will allow the Directors to put aside the requirement to offer
new shares, up to 52 million to existing shareholders.
This authority to be valid until the next AGM.
If they were to execute an RTO this would be a necessary step.
That's my take on this.
Hoping they have a target in sight.
All this frantic activity suggests that they do.
Pawlenty, have you been to web site, re Agm and special Resolution re being offered shares on a one. For one basis
But at what price
