I have my APR shares with Selftrade in my wifes ISA. Selftrade is owned by Equinit a canadian company, as are Fairfax and probably some of others in consortium. As we did not act on the corporate action to vote, our shares were used to vote for the consortium/managment stitch up (at least that is how it feels). I was caught out by this action as I would say normally you would expect the opposite? I wonder if there were many others like me who supposedly voted for, this all took place over christmas and new year (corp action on 23/12 and decide by 28/12) and many small holders may have been busy? The vote was close roughly 55% to 45%. I suppose knowing how all the rich and greedy people are it is hardly surprising they have got together and made this happen by good timing and broker collusion Annotingly it also means right now I do not have the money available to reinvest as the action has not been paid out, where as if my shares had been left alone I could have sold for pretty much the full amount this week and had money straight off. We will move the ISA away from Equiniti/Selftrade

Anyone have any thoughts on potential offer for APR Energy? Shares have put in big move this month to date, but do people think this is real or not? I wonder what the insiders who are leading the transaction know? Must be thinking lots of good news coming in 2016 so they want to buy it now.

Hi UtilityInvest. It is not the same management. Yes founders still there. But, it was really when new head of sales came on board when the stock skyrocketed and all metrics improved across the board. What did Campion, Anderson and their cronies do when stock hit all time high?! Did they believe in the company? Buy more stock which sends the right signal to the market and other investors/shareholders? Nope. They dumped all their stock?! Not surprisingly, Soros, the Capital Group and others also took their cue and sold off. When Martinez left, did they put a qualified CFO in place (keep in mind that Martinez had just replaced prior CFO), nope, they put Munro who had never been a CFO and under his leadership APR's had a qualified opinion from the auditors, the bank covenants have been breached, stock at all time low with current shareholders continuing to sell. When the announcement came out that Campion, Anderson and Lee were going to continue to lead, APR stock dropped 11%! When COO's departure was announced was made APR stock dropped again materially. Clearly the professional investors have spoken on what they think of the current management. Finally, no idea why you would say that Campion and Anderson have "skin in the game" when they are down to less than 3%. They cashed out and don't need to make a penny more with the hundreds of millions they made already, but to the detriment of their employees stock options which are under water (clear incentive to lose most talented employees who have no reason to stay) and to existing shareholders.
APRJAX - thanks for your input on APR, that is helpful. I need to take a closer look at APR, seems like management could be a key issue there. Aggreko seems like a safer bet, although if APR could land new contracts, APR shares would have a lot more upside than Aggreko. Different risk/profile I guess. One thing that is kind of odd to me is the key management are the founders of the business. They built a competitive, global power company in like 10-12 years based on my reading of the annual reports. To me that is pretty impressive. But you are writing off management...so have they just lost their edge or their abilities to run this business in your opinion? I was just surprised because I thought that the current management would be a new team that wasn't as good as the old team and were mucking things up...but it's the same guys. In some ways, that makes me believe they can work their way out of the current challenges. Again, unless they have just lost it and they are burned out, checked out, etc. But they do own about 7 mill shares under JCLA (#6 shareholder), so they are not completely cashed out. They still appear to have some healthy skin in the game. And thanks to one of your other posts, I did find the Campion guy's twitter page, and he does seem to enjoy the finer things in life (understatement), so you would think he'd like to see that JCLA stake worth a lot more than it is here at 90 p! Hi utilityinvest. Based on news releases, the temp power in Uruguay was to allow them to build a permanent plant which should be complete. The only logical explanation for the current mini-renewals was to allow them to finalize construction. But, even APR's releases appear to indicate that the client is more interested in buying the used equipment than extending the contract further. Also, the latest press release was so reaked of desperation to announce something positive. That has been a repeated pattern recently with some of the other announcements - very little substance, but current incompetent management doesn't know how else to come up with anything positive when anything substantive is materially negative. On debt, I agree with Motley Fool and other press releases, that APR will likely end up working something out with the banks. But, they will wait at least until the end of the month to close and will extract as much as possible from APR - again not a plus. But, that does not change the underlying weakness in APR's ability to close new projects to make up for the projects coming offline and don't see how you or anyone could have any confidence with current management led by Laurence Anderson and John Campion as Chairman of the Board - over the past 1 year and change the company's results and performance has continued to get worse.
APRJAX - I have invested in the traditional power/utility sector for about 10 years. But I have only recently learned about Aggreko and APR Energy because I have never been that focused on emerging markets, mostly US, EU and Japan. So I never came across the temporary or interim power model. After reading Aggreko and APR annual reports, there is a lot that I like about their business models compared to traditional power plant operators. Particularly the modularity and mobility of the model is appealing, and not taking on tariff and fuel risk is another thing that appeals to me based on past experiences in the traditional utility sector. You seem very negative on APR, you also appear to be close to the story, although I can't quite tell. Uruguay renewal at year end is clearly a concern, why are you so certain that the contract will end then and not renew? It appears that the contract has renewed several times, but is your sense that Uruguay is planning on bringing in a competitor to swap out APR, like an Aggreko? Or is Uruguay going to have a power station built and ready to go by Jan 1 such that APR's services will no longer be needed? And then I guess the debt re-negotiation is a key risk as well. Do you have an opinion on that? I have no opinion, I just know the language that they included in their 1st half results RNS in late August and it sounded cautiously optimistic, but admittedly that is subject to interpretation.
