- Transaction expected to close in the first half of 2023
Parma Italy, Boston MA and Dublin, Ireland, January 8, 2023 Chiesi Farmaceutici S.p.A. (“Chiesi”), an international, research-focused biopharmaceuticals and healthcare group, and Amryt Pharma Plc (“Amryt”) (Nasdaq: AMYT), a global, commercial-stage biopharmaceutical company dedicated to acquiring, developing, and commercializing novel treatments for rare diseases, announced today that the companies have entered into a definitive agreement under which Chiesi will acquire Amryt (the “Transaction”). The Transaction was unanimously approved by both Chiesi and Amryt Boards of Directors and is anticipated to close by the end of the first half of 2023, subject to the satisfaction of all closing conditions.
Under the terms of the Transaction, Chiesi will purchase all outstanding shares of Amryt for a purchase price per American Depositary Share (“ADS”) of Amryt, which each represent 5 Amryt ordinary shares, of US$14.50 (or US$2.90 per ordinary share) in cash, plus Contingent Value Rights (“CVRs”) of up to US$2.50 per ADS (or up to US$0.50 per ordinary share) payable if certain milestones related to Amryt’s product Filsuvez® are achieved. The total Transaction value implied by the Transaction at close is approximately US$1.25 billion in upfront consideration, representing a 107% premium based on Amryt ADS’ closing price of US$7.00 on January 6, 2023, plus CVRs representing an additional approximately US$225 million of potential consideration.
Marco Vecchia, Chief Executive Officer of Chiesi Group, commented: “With this Transaction, we are further expanding our commitment to people living with rare diseases, the majority of which still have no cure or approved treatment. This addition of the Amryt portfolio, as well as their expertise, will help us on our journey to bring medicines to patients, no matter how rare their condition may be. We look forward to working with Amryt towards a successful closing of the Transaction. Amryt has steadily brought innovative products to new markets and, by adding them to the Chiesi portfolio, we hope to make them available to even more patients who may require them.”
Dr. Joe Wiley, Chief Executive Off
I have been with Amryt from the beginning, and before, when it was originally Fastnet Oil. I was skeptical of its transformation into a pharma company but stuck with them. I was stunned at the 100%+ rise in SP today. Well chuffed and on top of good overall portfolio rise in the New Year Rally. Half heartedly believe things come in threes. If so an ITV bid would be "the icing on the cake" start to 2023, another stock I have stuck with and traded in addition to long-term holdings. Best wishes for 2023 to all.
Chiesi Pharma 107% premium
Chiesi Farmaceutici just released confirmation of proposed t/over at 107% premiun at 14.5 US dollars a share.
Excellent as puts me back on the right side if it all goes through.
Yes I just read they have to respond within 30 days, although I wouldn't get my hopes up even with the EU decision. Interesting though...
Their meeting with the FDA on the CRL must not have had any impact - hard to know what to expect from the formal FDRR process.
Not sure what it would take to get a rise npwadays
Market could care less - 2% rise on NASDAQ, - negligible volume as usual
As expected...

thanks for sharing
fingers crossed on that one then, an update around what conversation they've had (if any) with the FDA would be nice.
Be a bit of a shame if they have to start a trial from scratch when EMA looks likely to accept it
End of June at the latest (67 days). Higher volume than usual on Friday - maybe something happening?
I'm also wondering how long it will be before we get the formal EMA approval following the CHMP recommendation?
Thanks.

Where does it say less than 10 cents per CVR for the EMA.The FDA to my knowledge have not decided yet unless you can shed some light on this.
I wonder why they bothered with the CVRs in the first place - returning cash to shareholders in a small growth company doesn't make a lot of sense. There must be better ways to utilize cash. Then again, borrowing money one year and then proposing 30M share buybacks the next doesn't really add up either. The share performance to date has been abysmal so it will be interesting to see what effect if any the buybacks will have. The market is certainly not pricing in any impact at present.
So just less then 10 cents per CVR for the EMA and zero for the FDA, they've been well worth holding onto. At least new investors won't be worried about the massive payouts!
