The Management Board of Aforti Holding SA with its registered office in Warsaw, hereinafter: "Company", "Issuer" in reference to the current report ESPI 40/2020 of July 8, 2020, informs that today, i.e. on July 22, 2020, the Company concluded an agreement with a broker operating on the British market, EGR Corporate Broking Ltd based in London (Agreement).
In accordance with the concluded Agreement, EGR Corporate Broking Ltd is to lead to the indirect listing of the Issuer's subsidiary, Aforti Exchange SA with its registered office in Warsaw on the Main Market of the London Stock Exchange (LSE), and to obtain up to EUR 5 million as part of a private non-public offering, and another 4, GBP 5 million in an IPO on the LSE. The publication should take place within six months from the conclusion of the Agreement.
Under the Agreement, EGR Corporate Broking Ltd will act as the sole financial advisor and as a leading broker. The agreement provides for the conclusion of additional agreements with other entities involved in the project, including other brokers.
The concluded Agreement is the implementation of the strategy announced in the current report 11/2018 of April 4, 2018, consisting in the publication of Aforti Exchange on one of the foreign stock exchanges. The Issuer will inform about taking the next important steps in the next current reports.

The Management Board of Aforti Holding SA with its registered office in Warsaw hereinafter: "Company", "Issuer" informs that today, i.e. July 8, 2020 due to the expiry of the deadline specified in the letter of intent as the transaction completion date, which changed the assessment of the transaction by the Company, the Issuer decided not to continue cooperation with the company listed on the main market of the London Stock Exchange in the scope of achieving the goal indicated in the letter of intent described in the current report ESPI No. 18/2020 of April 14, 2020.
At the same time, the Issuer would like to inform that the publicity of Aforti Exchange on one of the foreign stock exchanges remains a strategic goal and the subject of ongoing activities of the Aforti capital group. Currently, scenarios are being considered to achieve the above objective, among others by making public at LSE in London. In connection with this, talks are under way with a broker operating on the British market, supporting the Issuer's group in the implementation of this project.

reading through announcements aforti is only going to take a majority stake in highway , well according to what i have

I am assuming the fund raising is already underway, which would
suggest if all goes well the meeting on 25th will just be a formality
and move quickly from there.
So an EGM shortly after 25th, probably at short notice, there cannot
be many shareholders - I am thinking perhaps less than 100.
After almost four years, whether it is 4 weeks or 8 weeks is of no consequence.
I am as keen as anyone else for a resolution to this situation.
all being well highway should be taken over by aforti , the share price for aforti is strong now moved up to over 15
from 8 ish last week, the two things we need to know is 1, if peterhouse is raising capital how is it going.2. when will
egm be taking place ?.
