Vesting of Share Awards

Following the vesting of shares with the Company's Executive Directors related to the Company's deferred awards under the annual performance bonus plan and the 2012 Performance Share Plan, application has been made to the UK Listing Authority and the London Stock Exchange plc for 392 721 ordinary shares of 10p each in the Company ("Shares") to be admitted to the Official List.

Included in this total is an amount of 146,6821 ordinary shares issued under the 2012 Performance Share Plan (refer to the announcement 'Director Share Grants' dated 28 November 2014), as well as an amount of 246,0392 ordinary shares issued under the annual performance bonus plan (refer to the announcement 'Deferred Share Awards' dated 30 November 2015).

The Shares will rank pari passu with the Company's existing ordinary shares and dealings are expected to commence at 8.00am on 8 November 2017.

Following admission of the Shares, the Company will have a total of 532,464,760 ordinary shares in issue.

1- Includes 10 163 shares to be issued to the previous financial director, under the terms of the 2012 Performance Share Plan, as part of his settlement agreement as further disclosed in the 2016 Annual Report.

2- Includes 110 494 shares to be issued to the previous financial director, under the terms of the 2015 annual performance bonus plan as part of his settlement agreement as further disclosed in the 2016 Annual Report.
