HALMA plcTRANSFER OF TREASURY SHARES

Halma plc announces that on 5 September 2012, 16,464 ordinary shares held by the Company in Treasury were transferred to two participants of the Halma plc Performance Share Plan 2005 in satisfaction of awards which vested in accordance with the Rules of the Plan.

Following the above transfer, the Company holds 732,595 ordinary shares in Treasury. The total number of ordinary shares in issue (excluding treasury shares) is 377,908,526.
