Transaction in Own Shares

J.P. MORGAN PRIVATE EQUITY LIMITED ANNOUNCESTRANSACTION IN ITS OWN SHARES

J.P. Morgan Private Equity Limited (the "Company") announces that on 20 June 2012 it has purchased into treasury the following shares: 250,000 US$ Equity Shares at a price of US$ 0.68 per Share.

The open market purchase will be accretive to the Company's current NAV of $1.18 per US$ Equity Share as at 30 April 2012.

Following this purchase the Company has 380,698,704 US$ Equity Shares in issue.
