Total Voting Rights

In accordance with DTR 5.6.1A, Ingenious Entertainment VCT 1 plc (the “Company”) announces the following:

Following the reduction of share capital of the Company by the cancellation of all the C ordinary shares of 5p each in issue as at 18 December 2014 (sanctioned by a court order of the High Court of Justice of England and Wales dated 17 December 2014), the Company’s capital at close of business on 18 December 2014 consisted of 6,785,624 D ordinary shares of 1p each (the “D Shares”), 2,846,122 E ordinary shares of 1p each (the “E Shares”), 1,572,095 F ordinary shares of 1p each (the “F Shares”), 3,518,044 G ordinary shares of 1p each (the “G Shares”) and 2,660,842 H ordinary shares of 1p each (the “H Shares”) with voting rights. The Company did not hold any D Shares, E Shares, F Shares, G Shares or H Shares in treasury as at that date.

The total number of voting rights in the Company as at 18 December 2014 was 6,785,624 in respect of holdings of D Shares, 2,846,122 in respect of holdings of E Shares,1,572,095 in respect of holdings of F Shares, 3,518,044 in respect of holdings of G Shares and 2,660,842 in respect of the holdings of H Shares.

Therefore, the total number of voting rights in the Company as at 18 December 2014 was 17,382,727. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA’s Disclosure and Transparency Rules.
