VOTING RIGHTS AND CAPITAL

In conformity with the Disclosure and Transparency Rules the Company would like to notify the market of the following:

Fenner PLC's issued share capital consists of 192,072,262 ordinary shares with voting rights. Fenner PLC holds no ordinary shares in Treasury.

The total number of voting rights in the Company is therefore 192,072,262.

The above figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, Fenner PLC under the FSA's Disclosure and Transparency Rules.
