('Orca' or the 'Company') Result of Extraordinary General Meeting ("EGM") The board of Orca (the "Board") is pleased to announce that at the EGM of theCompany held earlier today, 15 April 2008, the resolutions proposed to approve,inter alia, the recommended acquisition of Orca by Viaccess S.A. (the "Merger")were duly passed by the requisite majority of Orca shareholders. Completion of the Merger ("Closing") remains subject to the satisfaction orwaiver of certain further conditions and the expiry of a statutory 30 daywaiting period from the date of the EGM. The Board expects that the date uponwhich Closing occurs (the "Closing Date") will be between 15 May 2008 and 29 May2008. The Board will confirm the Closing Date in due course. Prior to the Closing Date, application will be made to the London Stock Exchangefor the admission of Orca Shares and Depository Interests to trading on AIM tobe cancelled with effect from the Closing Date (the "Cancellation"). The lastday of dealings in, and the registration for transfers of, Orca Shares andDepository Interests is expected to be the business day before the Closing Dateand at the close of business on that day, the trading of Orca Shares andDepository Interests on AIM will be temporarily suspended. Following theCancellation, share certificates in respect of Orca Shares will cease to bevalid and entitlements to Depository Interests held within the CREST system willbe cancelled.
