NOTICE
to the holders of the
£60,000,000 Callable Dated Subordinated Notes(ISIN: XS1507529144 / Common Code: 150752914)
(the Notes)
NOTICE IS HEREBY GIVEN by the Issuer to the Noteholders that, having obtained Regulatory Approval and satisfied the Regulatory Preconditions in accordance with Condition 7(g) (Conditions to redemption, substitution and variation) of the Notes, the Issuer will redeem the Notes in full on 28 October 2021 pursuant to Condition 7(b) (Redemption at the option of the Issuer) of the Notes.
The Notes will be redeemed at their principal amount, together with unpaid interest accrued to (but excluding) 28 October 2021.
Following redemption of the Notes, (i) the Notes will be cancelled and no further interest payments will be made and (ii) request will be made to the Financial Conduct Authority (the FCA) for the listing of the Notes on the Official List of the FCA and the admission to trading on the regulated market of the London Stock Exchange to be cancelled.
Unless otherwise defined in this Notice, terms used in this Notice have the meanings given to them in the terms and conditions of the Notes (the Conditions).
