Publication of Final Terms - Replacement

The following amendments have been made to the "Publication of Final Terms" announcement released on 28 October 2011 at 13.21pm under RNS Number 0652R.

On page 2 of the Final Terms in respect of the U.S.$1,500,000,000 3.750 per cent. guaranteed Notes due 1 March 2017, the Broken Amount has been amended from U.S.$ 15.63 per Calculation Amount payable on the Interest Payment Date falling on 1 March 2012 to U.S.$12.50 per Calculation Amount payable on the Interest Payment Date falling on 1 March 2012.

On page 2 of the Final Terms in respect of the U.S.$1,500,000,000 5.500 per cent. guaranteed Notes due 1 March 2022, the Broken Amount has been amended from U.S.$22.92 per Calculation Amount payable on the Interest Payment Date falling on 1 March 2012 to U.S.$18.33 per Calculation Amount payable on the Interest Payment Date falling on 1 March 2012.

All other details remain unchanged.

Final Terms for the issue by IPIC GMTN Limited of U.S.$1,500,000,000 3.750 per cent. guaranteed Notes due 1 March 2017, U.S.$1,500,000,000 5.500 per cent. guaranteed Notes due 1 March 2022 and U.S.$750,000,000 6.875 per cent. guaranteed Notes due 1 November 2041 (together the "Notes") guaranteed by International Petroleum Investment Company P.J.S.C. issued pursuant to a base prospectus dated 19 October 2011 (the "Base Prospectus").

The Final Terms of the Notes must be read in conjunction with the Base Prospectus, which constitutes a base prospectus for the purposes of the Prospectus Directive.
