Removal of Ordinary Share Class and Total Voting Rights

The board of Triple Point VCT 2011 plc (the "Company") is pleased to announce that further to an order (the "Court Order") of the High Court of Justice of England and Wales made on 16 January 2018 sanctioning the resolutions passed by the Company in general and class meetings held on 20 November 2017 cancelling and extinguishing all of its Ordinary Shares of 1p each ("Ordinary Shares"), and following the delivery to, and the registration by, the Registrar of Companies of the Court Order on 16 January 2018, the cancellation and extinguishment of the Ordinary Shares became effective on that date.

Following the cancellation and extinguishment of all of the Ordinary Shares, the listing of the Ordinary Shares was removed from the Official List of the UK Listing Authority with effect from 8.00 a.m. on 18 January 2018.

Following the cancellation and extinguishment of the Ordinary Shares, the issued share capital and total voting rights of the Company is now 16,775,399:

9,951,133 A Ordinary Shares

6,824,266 B Ordinary Shares

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
