Pan African Resources PLC27 July 2007 27th July 2007 Pan African Resources PLC ('Pan African' or the 'Company') Notification of Voting Rights Under the Disclosure Rules and Transparency Rules (the "DTR") the Company isrequired to make notification when it becomes aware of an "acquisition" or"disposal" of voting rights where if the percentage of such voting rightsreaches, exceeds or falls below 3% of the total voting rights in the Company orany whole percentage point above 3%. Where a proxy is granted, giving the proxy holder discretion to decide how thevotes are cast in the absence of specific instructions from the shareholder, aproxy holder is considered to be an indirect holder of shares under the DTR. In advance of the Company's AGM and EGM the Chairman of the Company, Colin Bird,has received discretionary proxy votes as detailed in the table below. Theaggregate of these proxy votes together with the voting rights held directly byMr Bird breaches the threshold noted above. Therefore, the followingnotification under the DTR is required. There are currently 418,003,235 ordinary shares of 1p each ('Shares') in issuerepresenting 418,003,235 voting rights.
