Issue of equity and voting rights

 

Tharisa announces that application has been made to the Johannesburg Stock Exchange (JSE), UK Listing Authority (UKLA) and the London Stock Exchange (LSE) for the listing and admission of 5 000 000 new ordinary shares to the official list and to trading on the main market of the JSE and the LSE. Admission of the shares is expected to occur on 8 August 2019. All of these shares are being reserved under a new block listing and will be issued to satisfy the Company's obligations in terms of the Tharisa Share Award Plan (TSAP).

 

Following admission, Tharisa will have 270 000 000 ordinary shares in issue, of which 264 010 346 will have voting rights. Following this issue, Tharisa will hold 5 989 654 shares in treasury to satisfy the Company's obligations relating to the vesting of the Conditional Awards of the TSAP on 30 June 2019 and to make provision for the potential requirement to allot shares on participants in the TSAP exercising vested Appreciation Rights.

 

Therefore, the total of 264 010 346 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, Tharisa under the FCA's Disclosure and Transparency Rules.
