ALLOTMENT OF SHARES

Henderson International Income Trust plc (the "Company") announces that it has allotted 300,000 new ordinary shares of 1p each fully paid under its block listing facility. These shares were issued yesterday for cash at a price of 167.0p per share.

The total number of shares in issue is now 174,981,306.

The total number of voting rights in the Company is now 174,981,306 in respect of the ordinary shares. The above figure (174,981,306) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson International Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
