Exercise of Warrants

Journey Group Plc announces that it has received notices on 26 and 30 August for the exercise of warrants granted by the Company over an aggregate of 14,528,624 new ordinary shares ("Warrant Shares") of 1 pence each in the Company ("Ordinary Shares") at an exercise price of 2 pence per Ordinary Share (the "Warrant Exercise").

The Warrant Shares will rank pari passu with the existing Ordinary Shares and application has been made for the Warrant Shares to be admitted to trading on AIM ("Admission"). It is expected that the Warrant Shares will be issued, Admission will become effective and dealings in the new Ordinary Shares will commence at 8.00 a.m. on 6 September 2011.

Following the Warrant Exercise, there will be 305,101,177 Ordinary Shares in issue. This number (305,101,177) may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
