Exercise of Options/ Issue of Equity

Castleton Technology plc (AIM: CTP), the software and managed services provider to the public and not for profit sectors, announces that on 30 September 2015, MXC Capital Limited ("MXC Capital"), a company in which Ian Smith, CEO, is a substantial shareholder, exercised options over 16,929,888 ordinary shares of 0.1 pence each in the capital of the Company ("Ordinary Shares"). The options were exercised at a price of 0.8 pence per Ordinary Share.

The Company has therefore allotted 16,929,888 new Ordinary Shares (the "Option Shares") to MXC Capital. MXC Capital's resultant holding is 361,886,877 Ordinary Shares, representing 24.0 per cent. of the Company's issued share capital.

Furthermore, following the announcement of 30 September 2015 regarding the Company's proposed Capital Reorganisation, a further 32 new Ordinary Shares have been allotted in order to make the Company's issued share capital exactly divisible by 160 (the "Additional Shares").

Application has been made for the Option Shares and the Additional Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence at 8.00 a.m. on 6 October 2015.

The total number of Ordinary Shares in issue following Admission will be 1,510,241,280. Accordingly, the figure of 1,510,241,280 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
