NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Alun Griffiths a director of WS Atkins plc (the "Company"), notified the Company on 15 February 2012, that on that day in London he sold 13,200 ordinary shares of 0.5 pence each in the Company at a price of £7.685 per share. The sale of 13,200 shares equated to 0.013% of the voting issued share capital.

Mr. Griffiths' total interest in shares following this notification is 33,974 ordinary shares, representing 0.339% of the voting issued share capital of WS Atkins plc.
